About the role

Key responsibilities & impact
  • Provide high-level, strategic legal advice and counseling on technology transactions and other matters assigned by senior legal leadership
  • Draft and revise technology agreements, including master services agreements, terms and conditions, click-through terms, end user license agreements, data processing agreements, privacy policies, AI/ML agreements, cloud computing and SaaS agreements, and service level agreements
  • Learn and support ALSAC legal needs involving fundraising, charitable registrations, gaming, licenses, grants, insurance, risk management, property, government relations, HR, policies, marketing, research, and special projects
  • Identify legal issues and work with internal departments to develop cooperative, efficient, and effective solutions
  • Represent ALSAC in dealings with attorneys, vendors, entities, government officials, donors, and other third parties
  • Handle higher-level legal issues independently from inception to completion and escalate appropriate matters to supervisors
  • Develop industry-specific policies, internal practices, and action plans, and assist with implementation
  • Provide timely, complete responses to Legal Department information and research requests
  • Document and disseminate legal conclusions to relevant stakeholders
  • Maintain and develop expertise regarding laws, regulations, and court decisions affecting fundraising and other areas applicable to ALSAC
  • Assist senior legal leaders with legal, managerial, and administrative matters

Requirements

What you’ll need
  • Knowledge and ability to handle highly technical legal matters independently
  • Experience with technology transactions, including drafting and revising technology, privacy, data, cloud, SaaS, and AI/ML agreements
  • Ability to practice law in a variety of areas and work through issues internally and externally
  • Strong critical thinking and ability to handle complex legal assignments independently
  • Ability to communicate legal conclusions clearly to non-lawyers
  • Detail-oriented with strong proofreading skills
  • Ability to multitask and manage multiple high-level, high-stress projects
  • Strong interpersonal, listening, negotiating, and collaboration skills
  • Ability to understand complex verbal and written instructions
  • Knowledge of Microsoft Office products, including Word and Excel
  • Juris Doctorate Degree
  • Licensed to practice law in Tennessee
  • 5–7 years of experience in a legal environment or related experience
  • Experience with regulatory agencies, oversight bodies, large organizations, in-house legal work, litigation, or contracts preferred
