About the role
Key responsibilities & impact- Handle corporate and corporate governance matters
- Draft, review and revise corporate instruments (articles of association, minutes, corporate bylaws and contractual amendments)
- Manage corporate routines for Ltda (limited liability companies) and S.A. (corporations)
- Perform filings and procedures with Commercial Registries, the Federal Revenue Service (RFB), notary offices and related authorities
- Support M&A transactions, including due diligence and drafting/reviewing transactional documents
- Draft legal opinions and validate documents received from external law firms
Requirements
What you’ll need- Completed law degree
- Active registration with the Brazilian Bar Association (OAB)
- Experience in Corporate Law
- Minimum of three years' experience in a legal department or law firm
- Postgraduate studies in Business/Corporate Law are a plus
- Experience in Corporate Governance is a plus
- Availability to work Monday to Friday, from 08:30 to 18:18
