About the role

Key responsibilities & impact
  • Run one Board-level committee and subsidiary boards, including board committees or a management committee
  • Prepare meetings, take minutes and distribute actions
  • Take responsibility for a portfolio of subsidiary legal entities
  • Implement and oversee compliance with the Subsidiary Governance Framework
  • Contribute to the annual report and financial statements programme
  • Provide specialist advice on statutory compliance, governance best practice, internal governance requirements, and new business and legislative developments/projects
  • Build effective relationships with Senior Management and Board members
  • Act as line manager to members of the Corporate Governance Office Team
  • Identify and facilitate development opportunities for team members
  • Maintain and continuously improve governance standards, systems and procedures

Requirements

What you’ll need
  • Practical knowledge of corporate governance, including the Companies Act 2006, UK Corporate Governance Code, PRA/FCA governance requirements and listing rules
  • Excellent stakeholder management and diplomacy skills
  • Experience running a Board-level Committee
  • Experience working effectively in a busy corporate governance or secretariat function
  • Experience working in a regulated environment, ideally financial services
  • Experience contributing to the annual report and financial statements programme
  • Membership of the Chartered Governance Institute as an Affiliate, Associate or Fellow, or equivalent
  • Excellent attention to detail and written communication skills
  • Strong minute-writing skills
  • Well-developed organisational skills and ability to manage competing priorities
  • Ability to work efficiently under pressure and to tight deadlines
  • Positive attitude and ability to work well in a team
  • Ability to interact effectively with people at all levels of the organisation
  • Ability to mentor and develop more junior team members
  • Right to work in the UK to commence employment
  • Line management experience (Preferred)
