Corporate Governance Analyst – Mid-level

About the role
Key responsibilities & impact- Organize and coordinate meetings of governance bodies, including the Assembly, Boards, NDS and CEAO, covering convocations, agenda preparation, review and preparation of supporting documents, meeting attendance, minutes recording, validation, collection of signatures and follow-up on decisions;
- Manage records of governance bodies’ decisions, ensuring traceability, tracking of follow-ups and proper dissemination of decisions to the responsible areas;
- Liaise with leaders and technical areas to gather information, provide accountability, present requests, analyze supporting inputs and monitor required approval levels for decision-making;
- Develop, monitor and improve the stakeholder management process, ensuring confidentiality, integrity and appropriate handling of institutional information and documents;
- Draft, review and update regulations, internal rules, processes, institutional policies, bylaws, resolutions and other instruments that make up the Governance System, ensuring compliance with current legislation, institutional guidelines and good corporate governance practices;
- Monitor, execute and oversee administrative processes related to committees, commissions, working groups and other collegiate bodies, including formalization of ordinances, document updates, drafting of rules of procedure and resolutions, effectiveness reporting and continuous monitoring of actions;
- Prepare, update and publish institutional organizational charts in collaboration with relevant areas, ensuring alignment with the current organizational structure and approved guidelines;
- Plan, organize and support institutional events, strategic projects, governance agendas, benchmarking visit requests and related initiatives, promoting integration with internal areas, external guests, governance bodies and other stakeholders;
- Implement, monitor and manage integrated governance systems and workflows, centralizing information, increasing traceability, strengthening process controls and contributing to reduced response times for institutional requests;
- Develop, track, analyze and monitor KPIs and performance metrics for processes, collegiate bodies and governance projects, supporting strategic decisions, management reporting and continuous improvement actions;
- Prepare, maintain and update the institutional governance calendar, including meetings, strategic agendas, commitments related to governance bodies and interfaces with public agents, when applicable;
- Assist with the area’s budget management, supporting the manager in planning, execution, monitoring and control of financial resources, as well as in contract management, purchase requests and related administrative tasks;
- Assist in managing systems, documents and processes related to Quality Management, supporting the manager in execution, monitoring, control and updating of information under the area’s responsibility;
- Act as a subject-matter analyst for specific governance processes, providing technical support, guidance, critical analysis and ongoing follow-up to the involved areas;
- Perform other related duties of comparable nature and complexity as requested by the immediate supervisor.
Requirements
What you’ll need- Bachelor's degree completed.
- Preferred: Postgraduate degree or specialization in Corporate Governance, Compliance, Risk Management, Strategic Management, ESG, DEI or related fields.
