About the role
- Support transaction closings, including preparing disclosure schedules, officer's certificates, resolutions, assignment agreements and other ancillary closing deliverables, coordinating and tracking signature pages, obtaining good standing certificates and lien searches, understanding closing conditions, monitoring and updating closing checklists, and keeping track of deliverables required from numerous third parties.
- Work closely with outside counsel, internal stakeholders and project partners to meet closing timelines; understanding of M&A and project finance closings is a plus.
- Review and assist with preparation and negotiation of standard contracts, including non-disclosure agreements, master services agreements, consulting agreements and basic amendments and change orders.
- Handle corporate governance and entity management tasks, including formation of entities, preparation of operating agreements, assignment agreements and corporate resolutions, coordination of document execution and required internal approvals, and maintenance of corporate files, contracts and closing sets.
- Maintain corporate organizational chart and support know your customer (KYC) and regulatory requests from financing parties; respond to requests from internal stakeholders for corporate records and information for RFPs.
- Assist with compliance matters and implement corporate policies and related procedures, including periodic confirmatory checks of representations and warranties, document execution processes and internal approval processes.
- Work collaboratively with other legal team members and cross-functional teams (including project finance, corporate finance, EPC, procurement, land and development teams) and other internal stakeholders at all levels of the company.
- Support the legal team and cross-functional teams on special projects, general corporate work and administrative tasks.
Requirements
- Bachelor’s Degree, paralegal certificate preferred, but not required.
- Minimum of 4 years of corporate or transactional paralegal experience in an in-house legal department or at a law firm
- Previous experience in the renewable energy industry preferred, but not required; excitement about renewable energy and sustainability is a must-have.
- Transactional experience in any combination of project finance, M&A and/or project development and familiarity with closing mechanics and documentation.
- High level of accuracy, attention to detail and excellent proofreading skills.
- High level of organizational skills and time management skills.
- Excellent written and oral communication skills required to communicate effectively with direct team members, across multiple departments and with external counterparties.
- Strong analytical skills with ability to read, comprehend and summarize legal documents and contracts.
- Strong interpersonal skills with the ability to interact with team members at all levels of the company in a congenial, collaborative manner.
- A resourceful problem solver with the ability to operate autonomously and efficiently and to figure out solutions proactively and independently.
