About the role
- Draft, review, and maintain corporate governance documents across all group entities (board resolutions, written consents, articles, memoranda, corporate policies, terms etc.).
- Prepare and maintain intra-group agreements, including but not limited to: intercompany service agreements, licensing and IP agreements, cost-sharing arrangements, management and advisory agreements, loan agreements, business plans and transfer pricing-related documentation (in coordination with tax advisors).
- Develop and continuously update corporate records, and supporting documentation evidencing each entity's genuine activity and economic substance in its jurisdiction of incorporation / residence.
- Lead the preparation and ongoing maintenance of comprehensive defence files (economic substance files) for group entities, ensuring they are audit- and enquiry-ready at all times.
- Ensure the legal dimension of group-wide tax compliance by reviewing, drafting, and optimising contracts and corporate documentation to support and protect the group's transfer pricing and tax positions together with the tax department.
- Monitor regulatory and legislative changes in all jurisdictions of presence and proactively advise the management on risks and required actions.
- Manage legal aspects of the company's equity incentive and stock vesting programs—including drafting and administering vesting/share purchase agreements, overseeing share transfers, issuances, and cap table management, obtaining necessary board/shareholder approvals, and ensuring compliance with applicable securities, contractor, and tax regulations across relevant jurisdictions.
- Manage the group's IP portfolio, including registration, protection, licensing, and enforcement of trademarks.
- Manage all stages of dispute resolution — from pre-litigation claims and regulatory inquiries through formal proceedings — including drafting responses, instructing and overseeing external counsel, controlling strategy, costs, and timelines, and advising management on dispute risk, settlement, and enforcement options.
- Build and manage a network of trusted external legal advisors in key jurisdictions; coordinate engagements, control quality and costs.
- Develop internal legal processes, knowledge management systems, and reporting frameworks.
Requirements
- 7+ years post-qualification experience in corporate/commercial law focused on international and cross-border matters.
- Admitted to practice: Bar, Law Society, or equivalent. (EU, England & Wales, US State Bar, or Singapore are particularly valued).
- In-house experience at an international holding/group with multi-jurisdictional subsidiaries, or advisory experience from a top-tier firm (Magic Circle, Silver Circle, Big Four legal, reputable international/offshore firm).
- Working knowledge of both English and US contract/corporate law is required.
- Proven track record in: intra-group agreements, IP licensing; corporate governance documentation; substance/defence files for tax and regulatory purposes; internal business plans evidencing genuine economic activity; share incentive/vesting schemes and equity documentation; IP rights management (registration, licensing, enforcement, portfolio strategy).
- Exceptional English legal drafting — clear, precise, commercially sound documents of the highest quality.
- Strong analytical & strategic thinking — ability to view the legal architecture of a multinational group holistically and identify risks and opportunities.
- Deep understanding of economic substance requirements (EU ATAD, CRS, BEPS, local substance legislation in Cyprus, Singapore, US, etc.) and working knowledge of transfer pricing principles for intra-group documentation.
- Excellent project management — ability to handle multiple jurisdictions, deadlines, and external advisors simultaneously.
- Strong communication skills — ability to convey complex legal concepts to non-legal stakeholders and influence decision-making.
