About the role

  • Manage global commercial contracts and revenue-based transaction matters for product alliances and technology partnerships.
  • Structure, draft, and negotiate strategic partnership agreements, OEM agreements, technology licensing (inbound/outbound), joint development agreements, and complex commercial arrangements.
  • Provide proactive legal advice to Product, Engineering, and Growth & Monetization teams on legal risks and opportunities.
  • Identify and mitigate legal risks related to IP, data privacy, security, regulatory compliance, and indemnification.
  • Collaborate with Product Counsel, Commercial Counsel, Privacy, Security, Finance, and other teams for alignment and consistency.
  • Advise on legal requirements for product launches involving third-party integrations or technologies.
  • Support agreement lifecycle: structuring, negotiation, amendment, termination, and ongoing compliance advice.
  • Develop form agreements, playbooks, and internal training materials; monitor legal/regulatory developments impacting technology partnerships.
  • Use project management and prioritization skills to manage multiple work streams in a fast-paced environment.

Requirements

  • JD degree with 8+ years of demonstrated experience in complex technology transactions, including product alliances, strategic partnerships, OEM, and technology licensing agreements, gained at a reputable law firm plus at least 4 years in-house at a technology company.
  • Proven track record of success independently leading and closing sophisticated, high-value alliance deals.
  • Deep understanding of intellectual property law related to technology licensing and product development.
  • Proficiency in data security and data privacy laws and regulations (e.g., GDPR, CCPA, HIPAA) in the context of data sharing and processing in partnerships.
  • Experience working closely with product, engineering, and business strategy teams on strategic initiatives.
  • Exceptional analytical, problem-solving, and communication skills; ability to translate complex legal concepts into practical business advice.
  • Independent, proactive, business-oriented, with excellent judgment and strong work ethic.
  • Ability to thrive in a high-volume, dynamic, and revenue-driven environment.
