About the role
- Support a broad range of corporate transactional matters, including M&A, investments, and capital markets transactions
- Assist with global subsidiary governance, entity management, and expansion, including maintaining corporate records, ensuring regulatory compliance, and streamlining governance processes
- Assist with drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings and registration statements and support the annual shareholder meeting process, including shareholder communications
- Support corporate governance matters, including preparing and reviewing Board and committee meeting materials and drafting resolutions and minutes in connection with Board and committee meetings and annual shareholder meetings
- Support investor relations and the quarterly earnings process and help ensure Regulation FD compliance for all corporate communications
- Help oversee the ongoing administration of all equity plans/programs and internal corporate policies, including insider trading policy and Rule 10b5-1 trading plans
- Support all treasury and tax-related matters, including credit facilities, stock repurchase plans, tax structuring, and intercompany arrangements
- Drive continuous improvements, scalability and operational excellence in corporate legal processes and execution
- Work collaboratively and responsively with a broad range of cross-functional stakeholders, and develop trusted relationships to facilitate a coordinated team approach
- Manage outside counsel and mentor more junior team members as needed
Requirements
- J.D. from an ABA accredited law school (or foreign equivalent)
- Membership in at least 1 U.S. State Bar, with good standing
- 5+ years of broad corporate, securities and transactional experience at a major law firm and/or in house
- Outstanding interpersonal and communication skills, with strong attention to detail
- An owner’s mentality with the ability to execute in a dynamic and fast-paced environment
- Strong collaborator and teammate with demonstrated ability to work cross-functionally with other teams
- Experience with public technology and/or financial services companies
