About the role
- Advise clients on all aspects of M&A transactions, including structuring, negotiation, and execution
- Draft and review transactional documents, including purchase agreements, shareholder agreements, and related contracts
- Collaborate with cross-disciplinary teams to address regulatory, corporate governance, and tax considerations
- Provide strategic counsel to clients across industries on their corporate transactions and related matters
- Contribute to client development initiatives by building and maintaining strong client relationships
- Manage complex transactional matters and engage directly with clients
Requirements
- JD from a top-tier law school with a strong academic record
- Active Bar Admission in appropriate jurisdiction
- 4-6 years of substantive experience in mergers and acquisitions (M&A), representing public and private companies and private equity clients
- Strong interpersonal skills, with the ability to work effectively in team-oriented environments and engage directly with clients
- A proven track record of managing complex transactional matters
- Experience representing public and private companies and private equity clients in M&A, carve-out transactions, securities offerings, restructurings, joint ventures, and spinoffs
- Emphasis in the health care industry a plus
- Must be local to Atlanta, GA or Chicago, IL (Chicago candidates currently local; relocation not considered)
