Associate Attorney – Commercial Lending, Real Estate

Paralegal

• Assist with real estate transactions, including the preparation and management of due diligence files and reports, deal agendas, and draft legal documents based on criteria in Lender Commitment Letters
• File and record documents with the appropriate Registries of Deeds and track recording information
• Draft title policies , reports, endorsements, and other title-related documents
• Assist with completing title searches and obtaining supporting documents as needed
• Prepare and maintain closing checklists, deal timelines, and closing binders; coordinate signatures, notaries, and delivery of executed documents
• Draft and revise routine real estate documents from templates and attorney direction (e.g., deeds, affidavits , closing certificates, easements, lease-related documents, and lender forms)
• Assemble recording packages and post-closing deliverables; track recording confirmations and return of originals; organize and distribute final closing sets
• Review title commitments and title search results; assist with title objection letters, curative requests, and tracking satisfaction of title and survey requirements
• Support real estate finance matters by coordinating lender requirements, ordering/payoff statements, and assisting with closing documentation and disbursement instructions at attorney direction

Paralegal – Real Estate Practice Group

• Join the firm’s Corporate/Real Estate practice group as an experienced attorney
• Engage in work across corporate transactions, commercial real estate, and finance on behalf of clients
• Engage with high level of client interaction and involvement in all aspects and levels of work
• Handle matters that cross state, regional, and national borders
• Collaborate with attorneys in all offices on broad range of issues and transactions

Associate Attorney – Corporate/Real Estate

• Assist with real estate transactions, including the preparation and management of due diligence files and reports, deal agendas, and drafting legal documents based on criteria in Lender Commitment Letters
• File on the various New Hampshire and Maine Registries of Deeds
• Draft title policies, reports, endorsements, and other title-related documents
• Assist with completing title searches
• Manage and coordinate real estate closings
• Assist with the formation, maintenance, and dissolution of business entities, including drafting and filing formation documents, resolutions, meeting minutes, and other governance materials
• Maintain and update corporate records and entity data using corporate management software
• Support corporate governance and compliance efforts by ensuring adherence to applicable laws, regulations, and internal policies
• Coordinate and manage federal, state, and local corporate filings, including annual reports, business licenses, and tax-related documentation
• Provide transactional support for mergers, acquisitions, corporate restructurings, and commercial real estate transactions—including due diligence review, drafting closing documents, and coordinating closing logistics
• Draft, review, and maintain a range of legal documents such as commercial contracts, board resolutions, bylaws, operating agreements, leases, easements, and property-related agreements
• Act as liaison with external counsel, government agencies, title companies, and other third parties involved in corporate and real estate matters
• Support internal audits, compliance initiatives, and investigations by gathering documentation and assisting with regulatory responses
• Manage legal projects from initiation through completion, tracking milestones, coordinating with stakeholders, and ensuring timely delivery of all required materials

Paralegal – Corporate and Real Estate

Legal Assistant

• Provide comprehensive administrative support to corporate attorneys, including scheduling meetings, maintaining calendars, coordinating travel, organizing and updating documentation files, and processing expense reports.
• Manage and track multiple matters and advise attorneys / paralegals of upcoming deadlines, outstanding tasks, etc.
• Organize and maintain electronic and physical real estate and corporate files.
• Organize and maintain attorneys’ calendars and email folders.
• Regular and professional communication with clients, local municipalities, registries of deeds; financial institutions, etc.
• Proofread various documents such as Deeds, Mortgages, correspondence, etc.
• Prepare probate forms, basic tax forms, correspondences, notices, and create packages of indexed documents, etc.
• Serve as witness and/or Notary Public to in-person document executions.
• Electronically search and file with the Registry of Deeds.
• Provide general administrative support to attorneys and paralegals.
• Assist with billing, time entry, and administrative tasks as assigned.
• Support attorneys in preparing closing binders, transaction checklists, and signature packets.
