General Counsel

• Draft, review, and negotiate a wide range of commercial agreements, including MSAs, partnership agreements, NDAs, BAAs, SaaS agreements, software licenses, subcontractor and supplier agreements, and SOWs.
• Advise internal stakeholders on legal risks, contractual obligations, and compliance requirements for new products, services, and business initiatives.
• Provide practical, business-oriented legal advice and solutions.
• Conduct legal research and provide guidance on emerging legal issues, including privacy, data security, and regulatory matters.
• Support the development and implementation of company policies and procedures to ensure compliance with applicable laws and regulations.
• Assist with Canadian and U.S. information privacy and healthcare regulatory compliance (e.g., HIPAA, PHIPA, and provincial equivalents).
• Participate in training and knowledge-sharing sessions to promote legal awareness and best practices across the organization.
• Assist with the management and resolution of disputes and pre-litigation matters and coordinate with external counsel as needed.
• Contribute to process improvement initiatives within the Legal Department, including the adoption of legal technology and automation tools.
• Provide support on special projects and other duties as assigned by the Associate General Counsel.
