General Counsel

• Point person for managing and operationalizing Operative’s data privacy program, including responding to data subject requests and implementing and maintaining Operative’s data map and managing ongoing privacy and compliance obligations and applicable assessments such as DPIAs and PIA(s).
• Lead the drafting and updating of Operative’s compliance policies including privacy and data retention policies.
• Assist on compliance matters, including coordinating responsibilities with departments across Operative.
• Manage drafting, reviewing and negotiating vendor agreements and related internal approval processes, including managing intake and purchase order approvals in collaboration with Procurement.
• Assist with collections disputes, including those related to customer bankruptcy.
• Support commercial sales business of Operative, with a focus on SaaS, on-premises software transformation and managed services
• Drafting, reviewing and negotiating a variety of technology agreements – primarily SaaS subscription agreements and software licenses; and related SOWs and schedules as well as data processing agreements.
• Proactively working with internal clients (e.g., sales, engineering, support) to get feedback on agreements, improve and scale all aspects of the sales contract negotiation process.
• Directly supporting requests from the sales and finance organizations related to RFPs, new commercial agreements, change orders and renewals.
• Become a valued member of an autonomous, cross-functional agile team, learning from and collaborating with internal stakeholders across the company.

Legal Counsel – Commercial, Compliance

Financial Planning and Analysis

• Partner with CFO and executive leadership on long-term strategic plans and annual operating plans
• Lead global budgeting, quarterly forecasting, and long-range planning processes across all entities
• Prepare consolidated financial reports for Board of Directors, investors, and executive team
• Support M&A activities including buy-side and sell-side due diligence, deal modeling, valuation, and integration planning
• Develop and maintain sophisticated financial models for P&L, cash flow, debt/equity structures, and M&A scenarios
• Build scenario planning frameworks, sensitivity analysis, and variance analysis to guide strategic decisions
• Monitor and analyze key SaaS metrics, including ARR, MRR, bookings, churn, CAC, LTV, segmented gross margin
• Conduct market/industry benchmarking and competitive analysis
• Track KPIs and operational metrics across all business units and product lines
• Drive process improvements, automation, and standardization of reporting infrastructure
• Build self-service reporting tools and dashboards for business unit leaders
• Optimize financial system stack and enhance reporting capabilities
• Ensure data integrity and financial controls across all planning activities
• Lead, mentor, and develop a lean high-performing global FP&A team (2-3 direct reports) across multiple geographies
• Foster a culture of analytical excellence and continuous improvement
• Collaborate cross-functionally with Accounting, Sales Operations, Marketing, Product, Engineering and other business units
