About the role
Key responsibilities & impact- Provide IP advice and support to Corporate Development, Ventures, and operating unit legal teams for M&A projects, divestitures, and structured investments
- Assess IP landscapes and counsel on early-stage opportunities
- Implement and execute IP-specific due diligence strategies
- Draft, negotiate, analyze, and revise complex IP and technology agreements, including licenses, joint ventures, collaborations, M&A, and divestiture agreements
- Evaluate target companies’ patent, trademark, copyright, and trade secret portfolios
- Identify and analyze potential IP litigation and transaction-related IP risks
- Counsel on mitigation strategies for IP risks
- Advise senior legal leadership, business development teams, and operating unit leaders on infringement, validity, freedom-to-operate, and ownership
- Collaborate with operating unit IP and commercial attorneys, COE attorneys, outside counsel, and cross-functional teams
- Build relationships with deal teams and clients by providing strategic, business-oriented IP advice
- Manage multiple projects and prioritize deliverables on time and on budget
- Monitor changes in the competitive landscape for medical device and healthcare technology
- Report to the IP Senior Director of the IP M&A Center of Excellence
- Model the Medtronic Mindset
- Travel up to 10%
Requirements
What you’ll need- Juris Doctor from a recognized, accredited U.S. Law School
- Licensed to practice in at least one state or the District of Columbia
- 8+ years of relevant in-house and law firm experience in intellectual property law
- Substantial experience conducting and/or overseeing IP due diligence assessments
- Experience drafting and negotiating IP-related provisions of M&A transactions and license agreements
- Bachelor's degree or higher in engineering or another technical or scientific field preferred
- Registered to practice before the U.S. Patent and Trademark Office strongly preferred
- Broad intellectual property experience, including patent prosecution, litigation, trademark, contracts, freedom-to-operate, opinion preparation, licensing, and IP negotiations
- IP M&A transactional experience
- Experience working with clients in the medical device industry
- Both in-house and law firm experience
- Strong attention to detail and organizational skills
- Excellent judgment, strategic and analytical thinking
- Ability to work independently and collaboratively on multiple projects
- Excellent written, verbal, and listening communication skills
- Experience managing a significant workload and prioritizing multiple projects
- Up to 10% travel required
- Unrestricted U.S. work authorization required at hire and throughout employment for roles below Principal level; sponsorship policy applies to Principal-level roles and above
- For baccalaureate degrees earned outside the United States, a degree satisfying 8 C.F.R. § 214.2(h)(4)(iii)(A) is required
