About the role
Key responsibilities & impact- Participate in corporate transactions, including mergers and acquisitions (M&A), corporate reorganizations, portfolio transfers and other strategic transactions involving the insurance market.
- Assist in the incorporation, structuring and reorganization of insurers, reinsurers, insurance and reinsurance brokers, complementary pension entities and other regulated entities in the sector.
- Advise clients on structuring guarantees in Brazil and abroad, taking into account regulatory, contractual and commercial aspects.
- Take part in structuring, reviewing and negotiating complex contracts and transactions in the sector, including insurance distribution agreements, bancassurance, coinsurance, reinsurance, joint ventures and other strategic commercial agreements.
- Represent clients before regulatory and supervisory authorities, especially SUSEP and PREVIC, monitoring regulatory requirements and authorization processes.
- Advise clients in negotiations for contracting, renewing and structuring insurance programs, as well as in the development of new products, services and lines of business.
- Prepare opinions, memoranda, legal opinions and consultations on regulatory, corporate, contractual and commercial matters related to the insurance and reinsurance industry.
- Provide ongoing legal advisory services to insurers, reinsurers, brokers and other participants in the insurance, reinsurance and complementary pension markets.
Requirements
What you’ll need- Law degree completed between 2022 and 2025
- Active OAB (Brazilian Bar Association) registration
- Advanced/Fluent English required
- Prior experience with M&A transactions
- Prior experience in insurance and reinsurance is a plus
