Procurement

• Develop and execute comprehensive global procurement strategies across all spend categories including drilling services, geophysical surveys, laboratory services, exploration equipment (core rigs, geophysical instruments, sampling equipment), technology solutions (AI/ML platforms, data management systems, specialized software), professional services (geological consulting, environmental assessments, legal services), and operational supplies.
• Build and maintain strategic relationships with key suppliers across multiple jurisdictions, establishing preferred vendor programs and long-term partnerships that support KoBold's exploration timeline requirements and cost optimization goals.
• Develop and maintain rigorous should-cost models across all major procurement categories, building KoBold's own independent economic understanding of what vendors do, what they should be doing, and what it should cost them to provide goods and services.
• Drive the organization, including all internal stakeholders who purchase goods and services, to engage deeply with the substance of what is being procured, not just the quoted price.
• Design and implement comprehensive supplier qualification and due diligence processes, including financial stability assessments, safety record evaluations, environmental compliance verification, and ethical business practice reviews.
• Assist with complex, high-value contract negotiations across diverse categories including multi-year drilling contracts, equipment purchase and lease agreements, technology licensing deals, professional services agreements, joint venture arrangements, and master service agreements.
• Evaluate and implement procurement technologies including spend analytics, supplier management, and e-sourcing solutions to optimize procurement strategy and deliver measurable value.
• Collaborate closely with Operations teams on project-specific procurement needs and supplier performance management.

General Counsel

• Be an integral part of an in-house legal team in a technology and mineral exploration company growing rapidly around the world
• Provide leverage and support to the CLO and DGC so that they are more effective at advancing the company’s priorities
• Develop major parts of the company’s legal function with a particular focus on M&A, project and debt financing, and transactions
• Have many opportunities to be involved in other areas as the company and its legal functions grow
• Create processes and policies to help build a high-functioning legal department
• Represent the company in negotiations throughout the U.S. and abroad with mining companies, tech companies, governments, universities, vendors, and individuals
• Review, draft, and advise on complex transactions spanning multiple jurisdictions
• Lead due diligence efforts when the company is conducting diligence about an opportunity and when we are responding to diligence requests
• Provide immediate legal and business advice to internal clients who include senior executives, finance, corporate development, HR and talent acquisition, geologists, data scientists, and software engineers
• Write, revise, and review documents regarding every part of the business
• Guide and support the company’s global business operations using legal and business skills, such as management of confidential information, tax structuring, and building organizational processes
• Work across the company to set and meet high standards of ethics, with a focus on safety, anti-corruption, community support, environmental protection, anti-discrimination, and integrity
• Hire and supervise outside counsel across many subject areas and jurisdictions
• Work on whatever needs to be done

Assistant General Counsel, Transactions

• Be an integral part of an in-house legal team in a technology and mineral exploration company growing rapidly around the world

• Develop major parts of the company’s legal function with a particular focus on complex corporate tax restructurings and global subsidiary management
• Oversee and manage compliance, corporate governance and KYC matters for the company’s subsidiaries
• Review, draft, and advise on complex transactions spanning multiple jurisdictions
• Create processes and policies to help build a high-functioning legal department
• Represent the company on matters throughout the U.S. and abroad as needed
• Assist with due diligence efforts when the company is conducting diligence about an opportunity and when we are responding to diligence requests
• Provide immediate legal and business advice to internal clients who include senior executives, tax/treasury, corporate development, HR and talent acquisition, geologists, data scientists, and software engineers
