About the role
Key responsibilities & impact- Manage, develop, train, and mentor Senior Associates, Staff, and Interns on M&A projects and assess performance for engagement and year-end reviews
- Maintain active communication during engagements to manage expectations, ensure client satisfaction, meet deadlines, and lead change efforts
- Collaborate with Transaction Services colleagues on tax aspects of mergers, acquisitions, and other transactions
- Conduct buy-side and sell-side tax due diligence and advise clients on tax-efficient acquisitions, divestments, and restructurings
- Review taxes in financial models and transaction documents
- Research tax issues, prepare succinct deal-driven written communications, assist with tax authority responses, and help clients strategize on transaction tax matters
- Assist Senior Managers with project development, client pursuit initiatives, and priority account management
- Analyze client tax attributes, including tax basis of assets and stock, M&A-driven transaction costs, and corporate earnings and profits
- Analyze net operating loss and tax credit carryforward limitations under IRC Section 382 for private and public clients
- Perform other duties as assigned
Requirements
What you’ll need- Bachelor's degree in Accounting required; Master's in Taxation/LLM in Taxation strongly preferred
- Minimum six to ten years of progressive federal tax consulting and/or compliance experience in public accounting or a combination of corporate and public accounting experience
- Three to five years of qualified Mergers and Acquisitions tax services/due diligence experience
- CPA or JD/active law license required
- Experience with Corporate, S-Corp., and/or Partnership returns
- Proficiency in US GAAP, tax compliance, corporate consolidated returns, consolidated federal tax returns, partnership returns, and combined state tax returns
- Excellent analytical, technical, and tax accounting/technology skills
- Exceptional client service and communication skills with demonstrated ability to develop and maintain client relationships
- Computer expertise, including tax software, technology, and spreadsheet modeling
- Ability to travel as needed
