About the role

Key responsibilities & impact
  • Serve as a trusted adviser on corporate legal matters, including corporate governance, reporting to the General Counsel & Corporate Secretary
  • Lead and support corporate governance, Board and Committee materials, corporate records, entity management, disclosure materials, and regulatory matters
  • Manage organizational documents, approvals, resolutions, subsidiary records, and governance materials
  • Advise on corporate financing matters, debt-related reporting obligations, transaction documentation, and corporate approvals
  • Support and lead mergers and acquisitions, financings, liquidity events, and strategic transactions from structuring and due diligence through post-closing integration
  • Lead and support complex commercial transactions with strategic partners and key counterparties
  • Support ESG-related legal and disclosure matters and development of GHX’s ESG program
  • Draft, negotiate, and interpret NDAs, LOIs, and other corporate agreements
  • Support subsidiary management of corporate affiliates
  • Advise on labor and employment and litigation matters, manage legal workstreams, and oversee outside counsel
  • Manage GHX’s insurance portfolio, including renewals, coverage analysis, claims support, and coordination with brokers and insurers
  • Coordinate with outside counsel across corporate, transactional, labor and employment, litigation, and other legal matters
  • Support the General Counsel & Corporate Secretary on risk management, corporate development, and strategic initiatives
  • Provide legal support for ad hoc projects from departments including Treasury and Accounting
  • Travel quarterly, up to 20% annually

Requirements

What you’ll need
  • J.D. required
  • Admission to, and good standing in, any state bar in the United States
  • At least 7 years of legal experience, including substantial experience in corporate governance and corporate transactions
  • Excellent analytical, interpersonal, and presentation skills
  • Effective written and verbal communication with all levels of the business, including senior management
  • Nimble and adaptable approach to varied legal questions and concerns
  • Collaborative, high-integrity, low-ego approach to problem solving
  • Ability to work independently, take ownership, and operate with appropriate autonomy
  • Strong organization, self-motivation, and ability to work under time pressures and deadlines
  • Ability to manage and prioritize requests and improve complex business and legal processes in a fast-paced environment
  • Excellent academic credentials
  • Preferred: experience with private equity-backed companies, in-house corporate legal departments, mergers and acquisitions, financings, strategic transactions, labor and employment, litigation, intellectual property, marketing and advertising, technology matters, SaaS businesses, and executive compensation
