About the role
- Negotiate, draft, and redline customer agreements, vendor agreements license agreements, partnership agreements, confidentiality agreements, work orders, data protection agreements, and other documents;
- Independently support critical commercial matters for the company, including complex and strategic transactions (partnerships, technology integrations, among others).
- Collaborate with internal and external experts to ensure that commercial agreements comply with policies, laws, rules, and regulations.
- Advise internal business teams on contractual obligations, risk management, and compliance related to commercial transactions.
- Lead negotiations in a respectful and professional manner to ensure favorable terms while maintaining strong business relationships.
- Collaborate cross-functionally with sales, compliance, risk management, procurement, finance, and operations to support business objectives.
- Provide legal support for contract lifecycle management, including amendments, renewals, and dispute resolution.
- Stay current on relevant laws, regulations, and industry best practices impacting commercial transactions.
- Identify potential legal risks and/or impacts to existing businesses, new ventures, and products, as appropriate.
- Assist with updating and drafting new corporate policies and SOPs.
Requirements
- Juris Doctor (JD) from an accredited law school
- Active law license in good standing in any state
- Minimum of 2-4 years of experience in negotiating services agreements and work orders with clients and vendors
- Experience advising across departments on business and contractual matters—ideally within the life sciences industry.
- Strong drafting and negotiation skills for complex commercial agreements.
- Highly autonomous and self‑motivated, with sound judgment and the ability to manage multiple priorities with urgency.
- Ability to understand business strategy and basic financial considerations.
- Strong knowledge of business to business agreements, risk assessment, and operational impacts.
- Ability to quickly evaluate complex legal/regulatory issues and recommend sound courses of action.
- Excellent oral and written communication skills, with the ability to influence and advise at all organizational levels.
- Professional demeanor and respectful communication skills with clients, partners, vendors and colleagues.
