Review and structure corporate acquisitions, divestitures and reorganizations to ensure tax-efficient execution.
Coordinate and perform tax due diligence for acquisitions and reverse tax due diligence for divestitures.
Review and comment on transaction-related contracts for acquisitions, divestitures and internal restructurings.
Represent the Company in day-to-day management of IRS U.S. federal income tax examinations and tax controversies, and some U.S. state income tax examinations.
Investigate, recommend and implement courses of action to minimize the Company’s U.S. tax liabilities.
Advise Company management and corporate departments (Corporate Development, Accounting, Treasury, Financial Planning) regarding tax-related matters.
Review court decisions, laws and regulations and advise management on effects and compliance with U.S. federal tax laws.
Prepare requests for accounting method changes, rulings, refund claims and protests; assist in negotiating settlements with taxing authorities.
Recommend adoption of and changes in tax policy and coordinate with outside counsel when appropriate.
Advise Company management on tax aspects of charitable giving.
Provide technical assistance to the tax compliance group regarding preparation of returns, tax basis calculations and analysis of U.S. tax attributes.
Advance professional growth through learning, applying new knowledge and seeking ambitious assignments.
Requirements
Experience with U.S. international and/or U.S. state tax matters a plus.
Minimum of five (5) years of concentrated experience in M&A, restructurings, tax examinations, research and planning with a $1 Billion+ multi-national corporation or tax department of a large law firm or Big 4 accounting firm (or combination thereof).
Mix of legal and tax accounting experience preferred.
Ability to work in a team environment, meet deadlines, and communicate matters to Director in a timely manner.
Represent the company in IRS U.S. federal income tax examinations and U.S. state income tax examinations; experience in tax controversy preferred.
