About the role
Key responsibilities & impact- Lead negotiations, drafting, and critical review of commercial contracts, M&A agreements, joint ventures, partnerships, project debt finance documents, offtake agreements, and interconnection and transmission documents
- Support project development and construction activities, including permitting and strategic planning
- Advise cross-functional stakeholders and establish legal strategy for transactions and corporate, transactional, and regulatory matters
- Support due diligence for project debt and equity financing, purchase and sale agreements, build-transfer agreements, and design-build-sell agreements
- Research legal developments and support compliance with applicable laws and regulations
- Manage in-house counsel, support staff, and outside corporate counsel when necessary
- Provide strategic legal input on federal and state regulatory strategy and compliance
- Develop training programs on company policies for North America employees
- Recommend legal department process improvements to increase efficiency and mitigate legal risks
- Provide legal support across project attorney duties, real estate, procurement, EPC contracting, financing, employment, and operating assets
- Negotiate and review construction contracts, renewable energy generation and equipment sale or purchase contracts, and real property documents
- Advise on corporate and project contracts, legal entity maintenance, project structuring, and litigation risks
- Ensure compliance with applicable laws, regulations, and standards
- May manage up to five direct reports
- May contribute to the Legal department budget process
- Perform other duties as assigned
Requirements
What you’ll need- Current bar license from one or more North American jurisdictions
- Admission to practice law and in good standing in at least one U.S. state or Canadian province/territory
- Juris Doctorate from an ABA-accredited U.S. law school, or LLB from an accredited Canadian law school
- Typically 10 years or more of legal experience in a law firm and/or in-house
- Experience drafting, negotiating, and critically reviewing power purchase agreements, financial hedging agreements, tax credit transfer agreements, interconnection agreements, permits, ISO/RTO tariffs and market rules, O&M and asset management agreements, and related project agreements for solar, wind, and battery storage assets
- Experience with M&A and joint venture operating agreements
- Experience with project financing and security agreements
- Experience overseeing outside litigation counsel in litigation and adversarial proceedings
- Renewable energy company or renewable energy client experience preferred
- Familiarity with consulting services agreements, master services agreements, third-party engagement letters, non-disclosure agreements, and routine general contracting arrangements
- Ability to manage numerous challenging assignments simultaneously under aggressive deadlines
- Excellent oral and written communication skills
- Excellent commercial drafting and negotiation skills
- Excellent relationship-building and interpersonal skills
- Ability to work effectively as part of a team and with internal clients
- Superior decision-making and problem-solving skills and sound business judgment
- Ability to sit or stand at a computer for a reasonable length of time and regularly walk or stand
- Frequent use of Microsoft software/programs, phones, and general office equipment
- Travel expected to visit vendors, home office, conferences, and meetings
