About the role
Key responsibilities & impact- Assist the General Counsel, Deputy General Counsel, and Legal Department attorneys with legal support for the Board of Directors, executive leadership, management, and business stakeholders
- Draft, file, and maintain corporate governance documents, entity records, organizational charts, annual reports, and related records
- Coordinate entity formations, dissolutions, foreign qualifications, amendments, mergers, acquisitions, and other corporate transactions
- Assist with due diligence, document collection, and regulatory filings for corporate transactions and reorganizations
- Maintain calendars and tracking systems for corporate filings, registrations, annual reports, and governance requirements
- Draft, review, revise, and manage commercial contracts and legal forms
- Manage contract lifecycle processes, including intake, routing, execution, storage, renewal tracking, and reporting
- Support implementation and administration of contract lifecycle management systems and legal technologies
- Provide regulatory support for Medicare Advantage plans and affiliated healthcare organizations
- Assist with health plan licensure, CMS audits, state insurance department examinations, regulatory investigations, filings, notices, and attestations
- Monitor federal and state legislative and regulatory developments affecting healthcare operations
- Prepare summaries, analyses, and tracking reports on healthcare laws, regulations, guidance, enforcement actions, and industry developments
- Support regulatory inquiries, corrective action plans, government requests, and compliance projects
- Support drafting, organization, and management of provider, delegated entity, administrative services, pharmacy-related, and vendor agreements
- Assist with litigation, arbitration, mediation, subpoenas, claims, grievances, investigations, and complaint responses
- Coordinate document preservation, collection, production, litigation holds, and outside counsel activities
- Assist with privacy and data security matters, HIPAA compliance, incident investigations, documentation, and regulatory reporting
- Manage legal intake and matter management systems, departmental records, filing systems, templates, and knowledge resources
- Create reports, dashboards, and metrics regarding contracts, regulatory matters, litigation, and legal activities
- Identify process improvement opportunities and lead Legal Department efficiency initiatives
- Assist with special projects and strategic initiatives assigned by Legal Department leadership
Requirements
What you’ll need- Associate's Degree or Bachelor's Degree required
- Five (5) to ten (10) years of paralegal experience in a corporate legal department or law firm
- Strong knowledge of corporate governance and corporate entity management
- Understanding of healthcare regulatory requirements, including Medicare Advantage, Medicaid, CMS regulations, state insurance regulations, and healthcare compliance concepts
- Excellent organizational and project management skills
- Exceptional attention to detail and accuracy
- Strong legal drafting, writing, and analytical skills
- Excellent verbal and written communication skills
- Experience with contract lifecycle management systems, legal operations tools, and document management systems
- Ability to exercise sound judgment and maintain confidentiality
- Advanced proficiency in Microsoft Office applications, including Word, Excel, PowerPoint, and Outlook
- Ability to work independently with minimal supervision while collaborating effectively with attorneys, executives, and business stakeholders
- Proactive, highly organized, and comfortable working in a fast-paced environment while managing competing priorities
- Healthcare, health plan, managed care, insurance, Medicare Advantage, Medicaid, or other government-sponsored health plan experience strongly preferred
- Experience supporting attorneys on corporate governance, healthcare regulatory compliance, entity management, and healthcare contracting matters preferred
- Experience supporting corporate governance activities, including board and committee meetings, meeting minutes, resolutions, annual filings, and corporate records
- Experience reviewing, tracking, and managing contracts through all stages of the contract lifecycle
- Experience interacting with state insurance departments, CMS-related matters, health plan licensure, regulatory filings, audits, examinations, or other health plan regulatory activities highly desirable
- Experience supporting legal entity management across multiple states preferred
- Certified Paralegal (CP), Registered Paralegal (RP), or equivalent certification preferred
