About the role

Key responsibilities & impact
  • Serve as a trusted advisor to issuer clients
  • Deliver advisory services for proxy contests, M&A, corporate actions, shareholder engagement, shareholder meetings, and special situations
  • Act as the primary point of contact for client engagements
  • Close prospective clients and enhance revenue opportunities with existing clients
  • Anticipate client needs and deliver high levels of client satisfaction through direct communication
  • Collaborate with lawyers, investment bankers, compensation consultants, and other client-retained advisors
  • Pursue new business by calling on companies, attorneys, and investment bankers
  • Secure new corporate clients and proxy fight/M&A-related solicitation opportunities
  • Maintain expert knowledge of proxy and corporate actions industries and related technical mechanics
  • Manage client deliverables and recommend actions to improve shareholder meeting results
  • Develop a book of business
  • Provide data-driven analytical advice
  • Lead small teams servicing individual clients

Requirements

What you’ll need
  • Bachelor’s degree; MBA or JD preferred
  • 10–15 years of experience in corporate actions, corporate governance, stewardship, or related legal/investor relations work
  • Established relationships with corporate advisors
  • Current knowledge of SEC regulations and state laws regarding shareholder meetings
  • Familiarity with corporate governance issues, proxy advisory firms, and institutional investors
  • Ability to manage numerous client engagements simultaneously
  • Ability to manage client deliverables and recommend actions to improve shareholder meeting results
  • Strong written and oral analytical and communication skills with senior executives, law firms, investment bankers, and institutional investors
  • Strong leadership and project management skills
  • Ability to work in a team environment and lead small client-service teams
  • Experience with CRM systems such as Salesforce
  • Experience using outbound sales enablement tools to generate leads and increase pipeline conversion
  • Moderate travel required
  • Availability to work outside standard business hours
