About the role
- Draft, review and manage contracts and various legal documents, such as: lease agreements, sales contracts, termination agreements, assignments, NDAs, loan agreements, amendments, notices, and extrajudicial collection communications.
- Review third-party contracts, identifying risks, inconsistencies and mitigation opportunities.
- Manage the contract lifecycle for clients and suppliers, monitoring deadlines, guarantees, renewals and updates.
- Review articles of association and corporate documents.
- Send, track and manage documents for physical and digital signatures.
- Provide legal advisory to internal departments (HR, Marketing, Logistics, Maintenance, Sales and Finance).
- Support HR on labor-related matters with potential legal impact.
- Support Marketing with matters related to trademarks, patents and image rights.
- Draft texts for emails, notices and messages involving sensitive topics or legal risk.
- Manage the portfolio of civil and labor lawsuits (active and passive), liaising with external law firms and partner lawyers.
- Attend civil and labor hearings.
- Propose and follow up on enforcement actions for defaulted contracts.
- Respond to notifications related to product defects and deficiencies.
- Issue notices to delinquent customers.
- Send registered letters with return receipt and monitor their returns.
- Conduct credit checks using the CredLocaliza system.
- Assess legal risks in new projects, hires and strategic initiatives.
- Monitor legal matters related to franchise openings.
- Review property registrations for contractual guarantee purposes.
- Participate in and lead internal and external legal meetings.
- Approve legal requests and workflows in the NetSuite system.
- Manage the legal department’s demand and request schedule.
- Prepare and follow up on powers of attorney, signature notarizations and formal documents.
- Perform document management, keeping physical and digital files organized and up to date.
- Collect and file corporate documents with the Commercial Registries.
Requirements
- Law degree (required).
- Solid knowledge of Contract, Civil, Corporate and Labor law.
- Experience in contract management and working with outsourced law firms.
- Knowledge of corporate procedures and registrations with Commercial Registries.
- Proficiency with document management tools and Microsoft Office.
- Preferred: Familiarity with ERP systems (NetSuite preferred).
