About the role
- Structure and implement joint ventures, syndications, and other funding vehicles for clients including developers, sponsors, REITs, family offices, and institutional investors
- Draft LLC agreements, LP agreements, and related transactional documents
- Lead fund formation work for real estate, venture capital, and private equity funds
- Participate in M&A transactions including asset purchases and equity acquisitions
- Advise on securities transactions and regulatory compliance matters
- Collaborate within a fully integrated, multidisciplinary team on complex, high-value transactions across asset types and project stages
- Provide client-facing legal counsel and manage client relationships
Requirements
- 5 - 7 years of experience with real estate joint ventures and securities offerings, including joint ventures and other syndications
- Strong background in drafting LLC agreements, LP agreements, and related transactional documents
- Significant experience in fund formation, including real estate, venture capital, and/or private equity funds
- Hands-on experience with M&A transactions, including both asset purchases and equity acquisitions
- Familiarity with securities transactions and regulatory matters such as Investment Company Act, Investment Advisers Act, and Securities Act (plus)
- Outstanding academic credentials, sharp analytical abilities, and excellent communication skills
- Prior direct client-facing experience is highly valued
- Admitted to the State Bar of California
