• Advising on transaction structure and legal frameworks for a DIB
• Assessing government contracts, MoUs, and PPP arrangements
• Designing and reviewing escrow, trustee, and payment mechanisms
• Providing guidance on tax, FX, KYC/AML, and regulatory compliance
• Ensuring compliance with data protection and safeguarding requirements
• Reviewing and contributing to transaction documentation and conditions precedent
• Delivering a suite of practical, transaction-focused legal outputs within a compressed timeline (12 working days)
• Supporting (if extended) negotiations and drafting of transaction agreements with investors and public-sector stakeholders
• Close collaboration with the transaction team and stakeholders, with outputs tailored for a non-legal audience and focused on enabling investment readiness.
