About the role

  • Assist in the development and implementation of strategic initiatives to protect, manage, and maximize the value of Blue Yonder's intellectual property assets, including patents, copyrights, trademarks, and trade secrets.
  • Manage Blue Yonder’s intellectual property portfolio, including overseeing and assisting with patent, copyright, and trademark filings, maintenance, and enforcement activities, and including efficiently communicating and managing outside counsel.
  • Provide legal counsel and support for strategic transactions, including mergers and acquisitions, joint ventures, and collaborations, with a focus on intellectual property due diligence, protection, and integration.
  • Advise on, draft, and negotiate inbound and outbound strategic technology agreements, including, but not limited to, software development agreements, licensing agreements, embedded technology agreements, software-as-a-service (SaaS) agreements, and IT professional services agreements.
  • Advise product development teams on compliance with intellectual property laws, technology agreements, and open-source software licenses.
  • Advise the marketing teams on intellectual property matters by reviewing campaigns, product names, branding, collateral, and digital content for proper Blue Yonder and third-party trademark and copyright use, protection of company IP, alignment with brand standards, and review of the marketing claims library to ensure all claims are accurate, substantiated, and not false or misleading.
  • Conduct legal research and provide legal advice with respect to regulations and other requirements related to intellectual property protection, ownership, registration, enforcement, and/or compliance.
  • Collaborate with other members of the legal department and business teams with respect to issues that require subject matter expertise.
  • Provide training on pertinent legal matters to Blue Yonder associates.
  • Perform special projects in support of the legal team’s goals and initiatives.

Requirements

  • Juris Doctor degree from an accredited law school.
  • Member in good standing of at least one state bar and preferably registered to practice before the United States Patent and Trademark Office.
  • Minimum of 3 years of experience as an intellectual property attorney at a top-tier law firm and/or in-house legal position.
  • Extensive knowledge of patent, copyright, trademark, and trade secret law, with a strong focus on software and technology.
  • Experience advising software companies and familiarity with software development and licensing practices.
  • Excellent written/verbal communication, presentation, and negotiation skills, with ability to draft, review, and negotiate complex agreements.
  • Strong analytical and problem-solving skills with the ability to provide pragmatic legal advice that factors in business objectives.
  • Team player who can collaborate effectively with colleagues across departments.
  • Entrepreneurial mindset with the ability to manage multiple transactions and competing priorities in a fast-paced, fluid, and deadline-driven environment.
