About the role

Key responsibilities & impact

Performs a variety of legal-related activities (not requiring a law degree) related to corporate governance.
Assists with subsidiary management, including preparation and filing of corporate formations and dissolutions, annual reports, appointments, powers of attorney.
Assists with the administration of the corporate governance function including supporting board of directors meetings and annual shareholder meetings.
Assists with preparation and filing of annual proxy statement.
Assists with gathering and organizing data required for environmental and labor disclosures globally.
Assists with M&A in the preparation of due diligence and closing materials; prepares corporate files.
Populates and maintains subsidiary management database.
Provides information to other departments including tax, finance and HR as requested.
Other duties as assigned.

Requirements

What you’ll need

Typically requires a minimum of eight years of related experience.
Paralegal credentials required.
High School Diploma or equivalent.
