About the role
- Reporting to the Senior Legal Counsel and supporting the Legal & Governance team and subsidiary Northwest & Ethical Investments L.P.
- Provide general legal advice and support to business lines on securities law and investment funds (simplified prospectus filings, new fund offerings, fund changes, responsible investing, exemptive relief applications)
- Advise on NI 81-101 Mutual Fund Prospectus Disclosure, NI 81-102 Investment Funds, NI 81-106 Investment Fund Continuous Disclosure and CSA Staff Notice 81-334 ESG-Related Investment Fund Disclosure
- Draft, review, negotiate and manage contracts such as sub-advisory agreements and NDAs
- Provide general legal advice on corporate commercial law matters
- Perform legal research, draft memoranda and assist with preparation of policies and procedures
- Resolve inquiries from other departments, including materiality assessments, reviewing fund facts and management reports of fund performance
- Engage in company projects related to new product offerings or other initiatives
- Liaise with external stakeholders such as external legal counsel and auditors
Requirements
- LL.B / J.D and qualified to practice law as a member in good standing of the Law Society of Ontario/ British Columbia or another Canadian jurisdiction
- At least three years of experience with a law firm and/or in-house
- A quick learner, able to efficiently grasp concepts and issues and contextualize them
- Responsible – a dedicated professional who takes pride in their work
- Pragmatic – adept at achieving practical solutions and effective results
- Meticulous – thoughtful and thorough with careful attention to detail
- Excellent analytical skills and judgment, with the ability to deliver well-reasoned and practical advice
- Securities regulatory practice experience is advantageous
- Familiarity with the wealth management / financial services industry and products is desirable (relevant work experience or Canadian Securities Course)
- Fluent communication skills in English required; bilingual skills in French are an asset
