About the role
- Work closely with various corporate clients, providing legal expertise on a wide range of transactional matters.
- Draft, review, and negotiate a variety of contractual documents, including purchase agreements, shareholder agreements, and operating agreements.
- Advise clients on mergers, acquisitions, and divestitures, ensuring compliance with applicable laws and regulations.
- Conduct due diligence and assist in preparing legal opinions and memoranda.
- Assist in structuring and reorganizing corporate entities for optimal legal and tax efficiency.
- Stay current with legal trends and developments in corporate law to provide high-quality legal advice to clients.
- Collaborate with cross-functional teams to support business objectives and ensure favorable outcomes.
Requirements
- Juris Doctor (JD) from an accredited law school.
- At least 4 to 7 years of experience in corporate transactional law, preferably in a large law firm setting.
- Proven expertise in drafting, reviewing, and negotiating complex transactions.
- Strong understanding of corporate governance, statutory and regulatory requirements.
- Strong research and analytical skills
- Active membership in a state bar association.
- Excellent analytical, research, and writing skills.
- Demonstrated ability to manage multiple projects and deadlines simultaneously.
- Strong interpersonal skills, with the ability to work efficiently in a collaborative environment.
