About the role

  • Legal oversight of the group's company portfolio for both routine and exceptional corporate matters: incorporations, dissolutions, preparation and drafting of shareholders' meeting documents, approval and filing of annual accounts, changes of directors and governance arrangements, change of legal form, capital transactions, and transfers by universal succession of assets and liabilities.
  • Coordination for operational and corporate entities in France and abroad, liaising with local legal teams responsible for subsidiaries.
  • Participation in group perimeter reorganizations, mergers, demergers, transfers of shareholdings, and providing corporate support for strategic transactions and M&A across jurisdictions.
  • Contribution to the drafting of the registration document (document de référence) for the Governance, Capital and Remuneration sections.
  • Occasional participation in the preparation of meetings of the Board of Directors, its four committees and the general meetings of the parent company Atos SE listed on Euronext Paris.
  • Providing financing support to the Treasury team and subsidiaries, and legal advice in negotiating parent company guarantees with third parties (first-demand guarantees, letters of comfort, surety, etc.).
  • Monitoring regulatory developments in securities law, corporate law and financial regulation.

Requirements

  • Master's degree (Master 2 or equivalent) in business law, corporate law, securities law or financial law
  • Initial experience in a law firm or legal department, ideally within a listed group
  • Strong foundation in corporate law (routine and exceptional transactions)
  • Knowledge of securities law, restructurings and M&A transactions
  • Ability to provide support on financing and guarantee matters
  • Excellent legal drafting skills
  • Fluent French and professional working proficiency in English required
  • Rigor, autonomy and strong organizational skills
  • Team player with ease in cross-functional collaboration
  • Discretion and strong sense of confidentiality
