About the role

  • Draft and negotiate complex business agreements, including services, consulting, manufacturing, supply chain, confidentiality, and clinical trial agreements.
  • Drive efficiency and effectiveness in legal processes, including updates to standard-form contracts and related templates.
  • Serve as an escalation point for contract-related questions, providing clear legal guidance to business partners and analysts to advance agreements.
  • Provide high-quality legal advice and act as a trusted strategic partner to internal stakeholders, balancing business objectives with legal risk and compliance.
  • Prepare contract memoranda, summaries, or revisions outlining key requirements and obligations.
  • Proactively engage with internal teams to understand business needs and develop sound, commercially aligned contracts.
  • Identify terms and conditions requiring escalation to the General Counsel.
  • Provide post-execution support, including legal guidance on contract interpretation, obligations, and enforcement.
  • Review and advise on promotional and non-promotional materials—including marketing collateral, scientific exchange, digital media, and disease-state education—ensuring compliance with FDA, FTC, and other applicable regulations.
  • Collaborate with regulatory, clinical, and other cross-functional partners to evaluate a broad range of materials, providing clear verbal and written guidance.
  • Conduct in-depth legal research on complex medical device laws and emerging legal trends, including case law analysis.
  • Identify opportunities to improve business processes and propose practical solutions.
  • Advise internal stakeholders on transactional and general corporate matters.
  • Manage outside counsel effectively to support business needs and control costs.
  • Assist with pre-litigation and litigation matters as needed.
  • Support the General Counsel with additional projects and responsibilities as assigned.

Requirements

  • J.D. and active admission to at least one U.S. state bar, in good standing.
  • 8+ years of legal experience, preferably in-house, with exposure to the medical device or healthcare industries.
  • Strong knowledge of laws and regulations applicable to global medical device manufacturers, including commercial law, FDA regulatory law, the Foreign Corrupt Practices Act, U.S. fraud and abuse laws, false claims laws, privacy laws (GDPR, HIPAA), and regulations governing advertising, marketing, and interactions with healthcare professionals.
  • Experience reviewing and analyzing medical device or healthcare-related educational and marketing materials.
  • Proven ability to draft, redline, review, and negotiate contracts independently.
  • Excellent oral and written communication skills with the ability to influence, build relationships, and earn credibility quickly across global teams with competing priorities.
  • Demonstrated ability to take ownership of projects and consistently meet deadlines and quality standards.
  • Strong analytical skills, with the ability to identify and define problems, gather and evaluate information, assess risk, and provide practical, business-oriented recommendations in complex or ambiguous situations.
  • Ability to navigate diverse and complex legal issues and develop reasonable, innovative solutions; must be proactive, resourceful, and commercially minded.
  • Skilled in managing and resolving conflict effectively while advancing projects to completion and delivering superior service to internal stakeholders and external partners.
  • Excellent critical thinking, organizational, and technical capabilities.
  • Ability to communicate effectively at all levels of the organization, including staff, contractors, and business stakeholders.
  • Self-starter who can work independently under pressure, prioritize multiple initiatives, and maintain high standards of accuracy and quality.
