About the role

Key responsibilities & impact
  • Advise sales executives, senior leaders, and cross-functional teams on legal risk, compliance, and business strategy.
  • Provide legal support for complex sales transactions across product lines, platforms, and direct or indirect formats.
  • Communicate complex legal concepts, risks, and the Company’s position to internal and external audiences.
  • Anticipate and resolve conflicts or objections with peers and senior staff.
  • Identify and potentially lead training, guidance, and enablement programs for sales and internal business partners.
  • Draft, review, and negotiate commercial agreements including SaaS, licensing, professional services, NDAs, DPAs, and BAAs.
  • Improve contract templates, playbooks, and processes through benchmarking and analysis of customer interactions.
  • Facilitate deal velocity while managing legal and commercial risk.
  • Resolve escalated legal issues with minimal supervision and manage outside counsel as needed.
  • Serve as a subject matter expert for assigned legal areas and anticipate risks.
  • Partner with Deal Desk, Revenue Operations, IT, Product Engineering, and other stakeholders to drive compliance and deal velocity.
  • Drive initiatives improving legal workflows, compliance processes, internal policies, and governance frameworks.

Requirements

What you’ll need
  • Qualified attorney admitted to practice in one or more states in the United States.
  • Member of one or more state Bars in good standing.
  • License to practice law within the state employed.
  • 7+ years of experience as in-house counsel.
  • Substantial software licensing industry experience across licensing models, products, and services.
  • Experience with enterprise transactions, on-premises licensing, SaaS/cloud offerings, and AI.
  • Working knowledge of data privacy, security requirements, and applicable laws and regulations.
  • Knowledge of internal controls, procedures, risk surveillance, dispute management, and escalation.
  • Working knowledge of revenue recognition rules and ability to ensure agreements conform to current rules and company policies.
  • Excellent oral, written, presentation, and interpersonal communication skills.
  • Excellent negotiation skills.
  • Ability to communicate complex legal issues and solutions clearly and succinctly.
  • Proven analytical, time management, and problem-solving skills.
  • Strong ethical practice and commitment to professional responsibility.
  • Ability to manage competing priorities and work independently under demanding deadlines.
  • Ability to work as an independent self-starter in a fast-paced, results-oriented environment.
  • Enthusiasm for using and learning AI tools in day-to-day legal responsibilities.
  • Position involves access to software/technology subject to U.S. export controls; employment is contingent on the capacity to comply with those controls.
