Company Secretary – Corporate Counsel
AIGCompany Secretary and Corporate Counsel facilitating governance and secretariat functions at AIG Australia. Managing legal compliance and supporting the Board and executive management in decision-making.
About the role
Key responsibilities & impact- Day to day management of the company secretariat function including accurately recording minutes of Board and Committee meetings, tracking of actions, maintenance of statutory registers and regulatory filings
- Administration and enhancement of effective Board processes and good governance practices
- Acting as a key point of contact between the Board, executive management and external stakeholders
- Product review and advice work comprising policy wordings, policy schedules and endorsements and advice and drafting of supporting distribution arrangements such as via binder agreements and other distribution agreements
- Advising on a variety of legal, secretariat and governance matters including compliance with insurance law and regulatory matters such as those arising under the Corporations Act, Insurance Contracts Act and relevant Regulatory Guides and APRA Prudential Standards
- Contribute to creating and enhancing internal legal and governance operational efficiencies and improvements
- Instructing and working closely with external counsel and engagement with regional and global AIG counterparts, where required
- Reviewing and providing sign off on collateral, communications, disclaimers and legal notices
Requirements
What you’ll need- Demonstrated experience in a secretariat role, ideally with broader governance focus in financial services
- Knowledge and understanding of general insurance law and regulatory compliance, with proven post-qualified senior legal experience gained either in-house or in a law firm
- Excellent time management, organisational, written and verbal communication skills, capable of simplifying complex legal and regulatory requirements into actionable advice
- Strong attention to detail, sound judgment and problem-solving skills
- Ability to build relationships and work with a range of (internal and external) stakeholders
- Ability to work collaboratively and independently and to deadlines
- A willingness to be involved in a variety of matters and an enthusiasm for working in a fast-paced environment
- Degree and/or Tertiary qualification in law with an Australian practicing certificate
- Ability to deal with confidential information appropriately and recognition of the importance of proper record-keeping
- Ability to keep abreast of changes in relevant legislation, regulation and caselaw and willingness to focus on and develop excellent drafting skills
- Solid understanding General insurance concepts, laws and regulation including Chapter VII of the Corporations Act 2001 (Cth)
- Prudential requirements applicable to general insurers, including but not limited to matters of governance
- Contract law and Australian Privacy law including APPs
