About the role
Key responsibilities & impact- Conduct, with autonomy, the drafting, negotiation and review of corporate instruments, including bylaws, articles of association, shareholder agreements, minutes, powers of attorney and governance policies;
- Lead M&A transactions and corporate reorganizations, coordinating due diligence, document negotiation, transaction closings and management of post-closing obligations;
- Manage the company’s principal corporate and regulatory obligations, interfacing with different internal areas and external partners;
- Monitor corporate controls, post-closing obligations and other activities related to corporate governance;
- Ensure the integrity of corporate books, corporate records and filings with Commercial Registries, notaries and other competent authorities;
- Prepare legal opinions and advise business units on corporate law, corporate governance and regulatory risk;
- Support the governance secretariat in preparing Board of Directors and Committee meetings;
- Coordinate external law firms, both domestic and international, overseeing scope, quality of deliverables, deadlines and budget;
- Design and improve the department’s processes, controls and document management, promoting continuous improvement;
- Serve as a technical reference for the team, supporting the development of other team members.
Requirements
What you’ll need- Law degree (Bachelor of Laws);
- Active registration with the Brazilian Bar Association (OAB);
- Postgraduate degree or specialization in Corporate Law, M&A or Capital Markets;
- Experience leading M&A transactions, corporate reorganizations and negotiating contractual documents;
- Proficiency in drafting corporate instruments and handling procedures before Commercial Registries;
- Advanced or fluent English;
- Ability to organize and lead multidisciplinary projects involving diverse stakeholders;
- Experience in managing controls, tracking deadlines and organizing documentation;
- Capacity to work autonomously, prioritize tasks and drive continuous process improvements.
