Senior Manager, Staff Counsel

• Own negotiation and execution of commercial SaaS agreements — including MSAs, subscription agreements, DPAs, and NDAs — while enabling the business to move quickly within defined guardrails.
• Enforce company positions on non-standard terms and manage escalation paths, improving time-to-signature without increasing legal or commercial risk.
• Train and enable Sales to handle routine negotiations independently, reducing legal bottlenecks at scale.
• Lead the end-to-end contracting function for all customer and vendor agreements, building a scalable, AI-enabled operation that reduces manual work and accelerates deal cycles.
• Implement and manage a Contract Lifecycle Management (CLM) system, including templates, negotiation playbooks, approval workflows, and delegation of authority controls.
• Leverage AI-driven legal tools for contract review, risk flagging, and workflow automation — actively identifying opportunities to reduce outside counsel reliance over time.
• Own vendor contracting and procurement legal processes, maintaining a contract repository with proactive tracking of key terms and obligations.
• Lead legal aspects of data privacy — including DPA negotiation and regulatory alignment with GDPR, CCPA, and related frameworks — and monitor evolving requirements across Canto's operating and customer geographies.
• Partner with Security, Product, and Executive Leadership on emerging legal and regulatory requirements related to AI, data governance, automated decision-making, IP, and responsible AI practices.
• Serve as the primary legal advisor across commercial and operational matters, managing outside counsel relationships across the US and Europe with a focus on cost efficiency and minimizing routine escalations.
• Handle disputes and pre-litigation matters with a pragmatic, resolution-oriented approach, and advise on Canto's corporate entity compliance program.
• Partner with Security during privacy and security events, coordinating on notification obligations, contractual commitments, regulatory requirements, and privilege preservation.

Commercial Counsel

• Assist in the creation of Global employment practices and strategies.
• Architect and advise on complex workforce models combining corporate employees, W-2 staff (telehealth and on-site), independent contractors (1099), and multi-state staffing partnerships.
• Evaluate the employment and labor law implications of corporate expansions, mergers and acquisitions, and new state market entries.
• Ensure alignment between multi-state employment practices, clinical licensing boards, and healthcare-specific workplace regulations.
• Drive enterprise-wide strategy for executive compensation agreements, restrictive covenants (non-competes/solicitations), and specialized retention or separation programs.
• Function as the internal strategic gatekeeper, ensuring hiring, compensation, and termination initiatives remain compliant and defensible under state and federal frameworks.
• Routinely evaluate and mitigate exposure related to corporate practice of medicine (CPOM) implications on clinical employment, whistleblower protections, background screening/OIG exclusion checks, and peer review processes.
• Oversee FLSA classifications (exempt vs. non-exempt) for hybrid/remote workers, multi-state wage-and-hour compliance, pay transparency laws, and workplace safety (OSHA) regulations.
• Manage a dedicated team of attorneys, paralegals, and employee relations professionals, fostering a high-performance, collaborative culture.
• Oversee outside counsel in employment litigation, administrative charges (EEOC, DOL, state analogs), and arbitrations. Direct critical vendor agreements involving professional employer organizations (PEOs), HR technology platforms, and specialized talent acquisition vendors.

Deputy General Counsel, Employment Law

• Draft, review, and negotiate commercial agreements (e.g., MSAs, SOWs, BAAs/DPAs, SaaS and technology, services, licensing, data sharing) using playbooks and clause libraries
• Manage redlines, issues lists, internal alignment, and approval workflows through execution; memorialize deviations and approvals
• Maintain and improve templates, clause libraries, and playbooks to reduce cycle time and drive consistency
• Issue-spot and provide practical guidance on applicable laws and regulations, such as the Anti-Kickback Statute (AKS), Stark Law, False Claims Act, FDA/DEA requirements relevant to pharmacy and telehealth operations, state pharmacy/professional licensing, PBM contracting/network participation, and HIPAA/HITECH
• Conduct targeted research, prepare summaries, and assist with regulatory analyses and alerts; coordinate with Compliance to ensure ownership and accountability across healthcare and pharmacy regulatory domains
• Partner with outside counsel on complex or novel regulatory questions; help implement recommendations
• Support the Privacy team on HIPAA and data protection matters, including incident response, breach investigations, and privacy compliance activities
• Assist with drafting and negotiating privacy and security provisions in client and vendor agreements, including BAAs, DPAs, and security addenda
• Partner with internal stakeholders to identify and remediate data handling risks; encourage privacy-by-design practices
• Draft, review, and negotiate vendor, procurement, and operations agreements (IT/SaaS, professional services, logistics/delivery, marketing vendors, clinical vendors), including MSAs, SOWs, order forms, renewals, and amendments
• Partner with Procurement, Finance, Security/IT, Privacy, and Compliance on intake, diligence, and approvals (e.g., security questionnaires, BAAs/DPAs, SOC 2/ISO docs, COIs)
• Negotiate and document SLAs, support/uptime, data handling/retention, audit rights, business continuity/DR, termination/transition assistance, and fee/charge guardrails
• Provide timely, business-oriented legal advice to Commercial, Partnerships, and Operations teams
• Contribute to process improvements (e.g., workflow design, CLM hygiene, playbook refinements, dashboards) that scale the legal function
• Support communications and marketing review for external messaging, disclosures, and public statements
• Collaborate with Compliance on training materials, audits, and corrective actions
• Assist with risk assessments, internal inquiries, and remediation planning as needed

Commercial and Healthcare Regulatory Counsel

• Provide underwriting support, counsel, and authorization to company personnel and customers related to the issuance of real estate title insurance commitments and policies
• Utilize underwriting standards and guidelines within delegated authority limits, to underwrite the issuance of title insurance
• Provide guidance to company personnel in the performance of real estate settlement services
• Issue underwriting standards and guidelines in accordance with established company processes

Commercial Underwriting Counsel

• Architect and negotiate enterprise-level agreements that support the growth of the Fuze Services
• Evaluate a wide range of products and programs to insure legal and regulatory compliance, particularly FDA and HIPPA
• Function as the internal regulatory gatekeeper for Fuze Services, ensuring growth initiatives remain compliant and defensible under relevant federal laws and state laws
• Advise on issues relating to US based testing
• Routinely evaluate and mitigate exposure related to the federal Anti-Kickback Statute (AKS), and state analogs
• Create and manage a system for review of marketing and communications content across all of Fuze Health, including claims substantiation and intellectual property use
• Oversight of attorneys and other legal professionals supporting Fuze Services and Legal Operations
• Oversee critical operational agreements across Fuze Services

• Lead the creation and rollout of Micron’s new enterprise-wide CLM platform • Provide pragmatic legal advice and solutions to support business teams in meeting strategic and commercial goals • Review, negotiate, and draft a variety of commercial agreements • Assist business teams with planning and development of new product initiatives • Provide proactive legal assistance to address emerging issues • Develop and deliver effective trainings to Business Units, Sales, and internal partners on key legal issues
