About the role

Key responsibilities & impact

Provide strategic legal advice to senior leadership, focusing on corporate, contractual and regulatory matters;
Support and lead matters related to Corporate Governance and Corporate Law, including support to boards, committees and the structuring of governance bodies;
Draft, review and negotiate contracts, especially financial contracts and instruments linked to the capital markets;
Work on corporate transactions such as debt raisings, public offerings, M&A, reorganizations and corporate restructurings;
Ensure regulatory compliance with the competent authorities, monitoring applicable legislation, rules and guidance;
Prepare legal opinions, memoranda and legal presentations to support decision-making.

Requirements

What you’ll need

Law degree completed, with active registration in the OAB/PR;
Proven solid experience in Corporate Governance and Corporate Law;
In-depth knowledge of corporate legislation (Brazilian Corporation Law - Lei das S.A., Civil Code, among others);
Practical experience in complex corporate transactions (capital raisings, M&A, public offerings, restructurings);
Experience in contract work, with a focus on financial contracts;
Advanced knowledge of Microsoft Office.
Differentials:
Prior experience in a company's in-house legal department, preferably a minimum of 2 years;
Postgraduate degree or specialization in Corporate Law, Corporate Governance or related areas;
Intermediate or advanced English.
