About the role

Key responsibilities & impact

Provide strategic legal counsel to senior leadership, focusing on corporate, contractual and regulatory matters;
Support and lead Corporate Governance and corporate affairs matters, including advising boards, committees and structuring governance bodies;
Draft, review and negotiate agreements, especially financing contracts and capital markets instruments;
Advise on corporate transactions such as debt financings, public offerings, M&A, reorganizations and corporate restructurings;
Ensure regulatory compliance with the relevant authorities by monitoring applicable laws, rules and guidance;
Prepare legal opinions, memoranda and presentations to support decision-making.

Requirements

What you’ll need

Law degree with active registration with the Brazilian Bar Association (OAB/PR);
Proven solid experience in Corporate Governance and Corporate Law;
In-depth knowledge of corporate legislation (Brazilian Corporations Law - Lei das S.A., Civil Code, among others);
Practical experience in complex corporate transactions (capital raisings, M&A, public offerings, reorganizations);
Experience in contract law with an emphasis on financial agreements;
Advanced proficiency in Microsoft Office.
