About the role
Key responsibilities & impact- Draft, review, negotiate, and finalize complex commercial agreements across Renewable Natural Gas, biofuels, feedstocks, environmental credits, and other energy transition products.
- Lead negotiations on high-value commodity, trading, supply, offtake, and structured transactions.
- Work closely with commercial teams to structure practical, bankable, and enforceable deal terms.
- Advise on key contractual provisions, including delivery obligations, performance standards, product specifications, transfer mechanics, title and risk transfer, credit support, representations and warranties, remedies, limitation of liability, indemnities, force majeure, termination, governing law, dispute resolution, audit rights, verification rights, and compliance-related provisions.
- Support first-of-kind and emerging-market transactions where regulatory interpretation, commercial design, and contract structure need to be developed together.
- Provide clear, practical guidance on legal and commercial risk while supporting efficient business execution.
Requirements
What you’ll need- Law degree and membership in good standing with a Canadian provincial or territorial law society; eligibility to practice or function as in-house counsel in Quebec would be considered an asset.
- Based in Canada and willing to travel to the Montreal Head Office semi-regularly for business needs.
- 10+ years of legal experience, with significant commercial drafting and negotiation responsibility.
- Strong experience in energy, commodities, natural gas, renewable fuels, biofuels, environmental credits, emissions markets, power, oil and gas, trading, or adjacent regulated markets.
- Demonstrated ability to independently draft and negotiate complex commercial agreements.
- Strong understanding of commodity transaction structures, contractual risk allocation, and commercial negotiation dynamics.
- Ability to work closely with traders, business development teams, finance, risk, operations, and senior executives.
- Practical, business-oriented judgment and comfort operating in a fast-moving commercial environment.
- Strong written English drafting skills, given the nature of Targray’s counterparties and business outside Quebec.
