About the role

Key responsibilities & impact
  • Serve as assistant corporate secretary for the public company and regulated and unregulated subsidiaries
  • Organize board and committee meetings, prepare agendas, minutes, and resolutions, and maintain corporate records
  • Support board governance, including director onboarding, meeting preparation, listing standards, regulatory requirements, and governance best practices
  • Advise on public company securities law matters, SEC compliance, filings, disclosure obligations, and related policies
  • Prepare, review, and file Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and other SEC documents
  • Provide guidance on earnings announcements and shareholder communications
  • Support financing and other capital projects from inception through ongoing compliance
  • Coordinate with board members, auditors, regulators, outside counsel, and internal stakeholders
  • Provide legal advice and support on complex, unusual, or challenging issues and risk-mitigation alternatives
  • Manage legal research and analysis
  • Provide legal support for sustainability initiatives and reporting
  • Supervise and facilitate development of team members
  • Lead or support cross-functional securities and corporate governance projects
  • Handle other legal and management matters and projects as assigned

Requirements

What you’ll need
  • Law Degree (JD) from an accredited law school
  • Bachelor’s Degree in Arts/Sciences (BA/BS) from an accredited university or college
  • 12+ years of experience as an attorney in a law firm or corporate legal function
  • Experience advising public companies on corporate governance, securities law compliance, and SEC reporting
  • Business, finance, or accounting degree or experience
  • Working knowledge of business, finance, or accounting concepts, terminology, and practices
  • Licensed to practice law in the relevant legal jurisdiction
  • Deep and broad legal expertise with significant specialized knowledge of relevant jurisdiction laws and regulations
  • Ability to manage attorneys and other legal professionals, or learn and acquire those management skills
  • Deep experience with securities law and corporate governance terminology and methods
  • Business and financial knowledge
  • Highly experienced client counseling, client service, interpersonal, drafting, review, proofreading, negotiation, persuasion, and oral and written communication skills
  • Ability to present business terminology and concepts clearly
  • Highly organized and results oriented, with strong attention to detail
  • Experienced time management skills and commitment to deadlines
  • Ability to set goals, multitask, and prioritize workload
