About the role
Key responsibilities & impact- Manage and monitor the portfolio of domestic companies, including approval of accounts, renewal of managers, intra-group agreements, legal formalities and powers of attorney
- Support capital transactions and internal reorganizations
- Organize and provide legal support for M&A transactions
- Provide legal support for project financing transactions
- Analyze, draft and negotiate contracts in Italian or English, including land leases, development partnerships, EPC, O&M, grid connection, PPAs and service agreements
- Prepare legal documents for tenders and consultations, including NDAs, MOUs, term sheets and protocols
- Update and maintain the database of standard contracts
- Manage and oversee litigation cases
- Provide legal advice to relevant stakeholders
- Develop and implement regulatory and compliance guidelines
- Centralize legal documentation and handle local litigation and insurance matters
- Ensure legal reporting and update Legal Department databases and dashboards
- Participate in the development and management of legal processes
- Provide training on legal issues relating to the group’s activities
- Manage, coach and develop the Italian Legal team
- Set priorities, allocate resources and ensure effective execution of legal activities and projects
- Support team members’ professional growth through mentoring, performance management and continuous development
- Promote knowledge sharing and alignment with Group Legal priorities and standards
Requirements
What you’ll need- Master’s degree in Italian Corporate Law or Renewable Energy Law
- At least 5 years of experience as an in-house Legal Manager in the renewable energy sector
- Proven leadership skills and experience managing and developing legal professionals
- Strong background in M&A transactions in the renewable sector
- Fluency in both Italian and English
- Ability to analyze, draft and negotiate contracts in Italian or English
- Experience with corporate transactions, internal reorganizations and project financing
- Knowledge of regulatory and compliance matters
- Experience managing litigation and insurance matters
