About the role

Key responsibilities & impact
  • Lead sophisticated private-company mergers and acquisitions
  • Represent buyers, sellers, private equity sponsors, portfolio companies, founders, and strategic acquirers
  • Handle private equity, strategic M&A, leveraged buyout, management buyout, and other corporate transactions
  • Draft and negotiate purchase agreements, merger agreements, disclosure schedules, and ancillary transaction documents
  • Manage transactions from initial structuring and due diligence through signing and closing
  • Advise clients on transaction structure, negotiation strategy, and risk allocation
  • Supervise associates and coordinate transaction teams
  • Communicate directly with clients, opposing counsel, investment bankers, accountants, and other transaction advisors
  • Collaborate with attorneys across complementary practice areas
  • Participate in the continued development and growth of the firm's Corporate and M&A practice

Requirements

What you’ll need
  • 8+ years of experience as an M&A Attorney
  • Significant experience handling sophisticated private-company M&A transactions
  • Strong experience independently leading and closing transactions
  • Excellent drafting and negotiation skills
  • Experience managing associates and deal teams
  • Strong client-management and communication skills
  • Excellent academic and professional credentials
  • Admission and good standing in an applicable U.S. jurisdiction
  • Experience representing private equity sponsors, founder-owned companies, strategic buyers and sellers, or other middle-market transaction participants is particularly attractive
  • Established client relationships or a portable practice will receive strong consideration
