About the role
- Work in corporate law and capital markets transactions with a focus on public companies and strategic transactions.
- Provide legal support on corporate matters related to public companies.
- Assist in advising public companies on corporate actions included in their annual calendar.
- Support clients in the annual review of the reference form, the Form 20-F and the corporate governance report.
- Draft and review bylaws, shareholder agreements and corporate policies.
- Support the implementation of corporate governance practices.
- Work on public offering processes (bonds, follow-ons, IPOs).
- Participate in due diligence processes for public securities offerings.
- Support interactions with regulators (CVM, B3).
- Provide legal consulting, including the preparation of legal opinions and memoranda.
Requirements
- Previous experience in corporate law involving public companies.
- Intermediate to advanced knowledge of CVM and B3 regulations.
- Commitment, ability to handle multiple assignments, organization and attention to detail.
- Advanced English (reading, writing and professional communication).
