About the role

Key responsibilities & impact

Analyze, review, draft, negotiate and approve various contracts, confidentiality agreements (NDAs), amendments, termination agreements and other legal instruments related to the provision of services, supply of goods and commercial partnerships, ensuring legal compliance, risk mitigation and protection of the company’s interests;
Lead discussions and negotiations of contractual clauses and terms with internal departments and third parties, providing strategic legal support to business requests with a focus on legal certainty, contractual balance and alignment with corporate guidelines;
Manage and monitor active and closed contracts, including tracking deadlines, contractual obligations, renewals, notices, terminations and potential contingencies, ensuring appropriate technical, legal and strategic alignment of matters;
Draft, review and oversee various corporate acts such as minutes, powers of attorney, amendments to corporate documents, articles of incorporation and other corporate documents, ensuring proper execution, registration, filing and compliance with legal requirements before the competent authorities;
Provide consultative support to internal departments on contractual and corporate matters, contributing to strategic decision-making and the standardization of procedures and legal documents;
Support the implementation and improvement of internal controls, workflows and policies related to contract and corporate management, promoting greater operational efficiency and regulatory compliance.

Requirements

What you’ll need

Law degree (Bachelor of Laws);
Active OAB registration (Brazilian Bar Association);
Experience with legal matter/process management systems (Legal Manager, ProJuris, etc.);
Experience drafting contracts and preparing reports;
Experience drafting contracts and reports within the construction sector;
Experience working with companies undergoing judicial reorganization (insolvency/restructuring).
