About the role
- Provide counsel and advice on complex legal matters affecting MTRCC and lead a team of legal professionals
- Advise on MTRCC’s multifamily loan origination, closing, and servicing activities, while supporting strategic initiatives and managing legal risk
- Perform a variety of complex or specialized legal activities to protect MTRCC and M&T and help ensure they comply with all relevant laws and regulations
- Provide legal advice in multiple areas of expertise to MTRCC’s senior managers to ensure their activities, policies, business practices, and transactions comply with all relevant laws and regulations
- Make recommendations to senior management on how to respond to legal issues or proposed changes in laws and regulations and to changes in agency guidelines
- Lead and manage a team of professionals supporting legal and corporate secretary functions and support MTRCC Compliance group
- Serve as subject matter expert to MTRCC senior management on legal and governance matters, and as needed support MTRCC compliance
- Supervise outside counsel and internal staff on documentation for production, underwriting and asset management
- Review and analyze complex borrower and portfolio-related documentation requests
- Oversee legal aspects of third-party selling relationships, including joint ventures, correspondents, and brokers
- Support contract negotiation and documentation for agency relationships
- Review and prepare complex, non-standard contracts and documentation and provide legal guidance to the business team
- Monitor and resolve issues with outside counsel
- Collaborate with M&T Bank Legal, Compliance, and Corporate Secretary teams to ensure alignment
- Assist with special projects and strategic initiatives as directed by the MTRCC President & CEO
- Ensure adherence to internal controls and regulatory requirements, and provide legal support to MTRCC compliance group in this regard
- Exercise usual authority of a manager concerning staffing, performance appraisals, promotions, salary recommendations, performance management and terminations
Requirements
- J.D. from an accredited law school
- Minimum of 10 years' experience as an attorney or other relevant legal experience
- Minimum of 10 years in-house counsel experience at a multifamily lender or agency required
- Minimum of 7 years' work leadership experience
- New York State or applicable state bar admission
- Ability to identify legal issues, evaluate legal risks, and offer solutions
- Strong negotiation, interpersonal, organizational skills
- Excellent writing, analytical and verbal skills
- Strong analytical and decision-making skills
