About the role
Key responsibilities & impact- Assist Deputy General Counsel in providing legal support for life and annuity product development and launch initiatives, including policy form review, requirements tracking, distribution agreements and relationships, and commercial contract review.
- Support attorneys in addressing legal aspects of both new product and in-force product initiatives, including documenting and tracking documentary support and workstreams.
- Support attorneys with respect to litigations involving life insurance and annuity products.
- Help ensure legal review, analysis and decision-making is properly documented, approved, and implemented in accordance with policy language, internal governance frameworks, and applicable insurance regulations.
- Support preparation of regulatory filings, disclosures, internal memoranda, and governance materials.
- Work closely with attorneys and business unit partners in supporting and tracking a variety of corporate initiatives and transactions, including marshalling and analyzing supporting data and requirements; assisting with due diligence, tracking workstreams, etc.
- Support legal team on corporate integrations within the enterprise.
- Collaborate with internal stakeholders and external counsel to ensure project milestones are met.
- Develop and maintain project trackers, timelines, and documentation for complex initiatives involving product, regulatory, or legal process changes.
- Assist the Corporate Secretary and Assistant Corporate Secretary with corporate governance needs, including maintenance of corporate records, corporate resolutions, corporate filings, regulatory filings and fulfillment of governance requirements.
- Support subsidiary governance, including formation, dissolution, qualification, and ongoing compliance.
Requirements
What you’ll need- 7+ years of paralegal or similar experience, with significant exposure to corporate and transactional work.
- Experience in the life insurance, annuity, or broader financial services industry strongly preferred.
- Demonstrated experience supporting corporate legal departments, whether in-house or at a law firm, including support of complex transactions.
- Excellent verbal and written communication skills with the ability to influence multiple internal and multi-level stakeholders.
- Bachelor’s degree required; paralegal certificate or equivalent experience preferred.
- Strong proficiency with entity management systems, document management tools, and Microsoft Office.
- Experience working with outside counsel and regulatory bodies a plus.
