About the role

Key responsibilities & impact
  • Oversee strategic partnership contracting as the main legal resource
  • Support the Director, Senior Corporate Counsel in managing Cotiviti’s healthcare and non-healthcare vendor contracts throughout their full lifecycle
  • Review, draft, and negotiate master services agreements, license agreements, SaaS agreements, business associate agreements, non-disclosure agreements, and related commercial agreements
  • Develop and drive contracting strategies for strategic partnerships, channel and distribution agreements, co-marketing agreements, and alliance-driven transactions
  • Draft, review, and negotiate strategic partnership agreements and complex vendor agreements, including MSA, software license, professional services, SaaS/PaaS/IaaS, BAA, and statement-of-work agreements
  • Advise internal stakeholders on contract interpretation, legal risks, and compliance requirements
  • Maintain contract databases and tracking systems for vendor and strategic partner relationships
  • Prepare legal summaries and risk assessments on contract terms and key provisions
  • Support contract management processes and workflow improvements
  • Coordinate with vendor services, corporate alliances, business operations, compliance, privacy, information governance, and other stakeholders
  • Facilitate cross-functional meetings to resolve contract issues and support business objectives
  • Train non-legal teams on contract processes and legal requirements
  • Complete assigned performance-review responsibilities, special projects, and other duties

Requirements

What you’ll need
  • Law school degree (JD) and active bar membership
  • 8-10 years of experience gained in-house or at large law firm
  • Strong interpersonal and presentation skills
  • Ability to communicate effectively with others at all levels of the organization
  • Demonstrated ability to negotiate complex agreements
  • Deep understanding of legal, financial, and commercial considerations
  • Prior experience in M&A, corporate development, or complex deal structuring preferred
  • Ability to establish and maintain strong relationships within the legal department and across all businesses
  • Ability to work independently with little or no supervision
  • Availability and responsiveness to legal and compliance team members and business units in a remote working environment
  • Working knowledge of healthcare-related agreements, including business associate agreements, preferred
  • Knowledge of data privacy laws such as HIPAA, CCPA/CPRA, and GDPR, preferred
  • Knowledge of emerging technologies such as artificial intelligence, preferred
  • Knowledge of on-premise, cloud, and hybrid technology deployment models, preferred
  • Must be able to provide a dedicated, secure work area
  • Must be able to provide high-speed internet access/connectivity and office setup and maintenance
  • Must be able to perform duties with or without reasonable accommodation
