About the role
- CoinList helps crypto projects grow their communities and raise capital and offers crypto financial services including token sales, staking, trading, and custody
- Seeking an experienced Crypto Funds Attorney focused on fund formation and regulatory compliance for digital asset investments
- Lead fund formation and structuring: draft and negotiate LP agreements, PPMs, and subscription documents for VC funds investing in crypto projects
- Provide SEC regulatory compliance advice with emphasis on Regulation D and Regulation S and monitor evolving crypto regulations
- Advise leadership and investment teams on structuring transactions and compliance strategies for crypto venture investments
- Navigate cross-jurisdictional securities laws and ensure international regulatory compliance
- Oversee ongoing legal matters for funds post-launch and ensure fund operations align with regulatory frameworks
Requirements
- 3-5 years of experience at a law firm, venture capital/private equity firm, or asset management firm with a focus on private fund formation and regulatory compliance
- Deep understanding of SEC Regulation D (onshore) and Regulation S (offshore)
- Familiarity with the proposed Clarity Act and other digital asset legislative efforts
- Juris Doctor (JD) degree from an accredited law school
- Excellent drafting and negotiation skills (preferred)
- Experience advising on venture capital or private equity funds in the digital asset space (preferred)
