About the role

Key responsibilities & impact

Structuring and corporate reorganization, including holdings, incorporations, mergers, de-mergers (spin-offs) and other corporate transactions;
Drafting, reviewing and negotiating articles of association, bylaws and shareholders/stockholders agreements;
Preparing and maintaining corporate records and fulfilling obligations before competent authorities;
Ongoing advisory services for domestic and international clients;
Implementation and monitoring of corporate governance practices;
Liaison with commercial registries and other regulatory bodies;
End-to-end management of mergers and acquisitions transactions;
Legal structuring of corporate transactions and investments;
Coordination of legal due diligence processes;
Preparation of risk reports and strategic recommendations;
Negotiation and drafting of transactional documents, including NDAs, LOIs, MOUs, SPAs (Share Purchase Agreements), QPAs and ancillary documents;
Coordination of signing, closing and post-closing processes;
Management of timelines, workflows and multiple concurrent projects;
Team leadership and development;
Technical review of documents and quality control of deliverables;
Direct relationships with clients, investors and strategic partners;
Integrated collaboration with other practice areas of the firm.

Requirements

What you’ll need

Law degree;
Active membership with the Brazilian Bar Association (OAB) for at least 8 years;
Advanced English;
Postgraduate degree or specialization in Corporate Law, Business Law or related areas;
Proven experience in Corporate Law and M&A;
Experience handling mid- to high-complexity transactions;
Experience in client negotiations and relationship management;
Ability to manage multiple projects simultaneously;
Consultative, strategic and solution-oriented profile;
Experience leading and developing teams.
