• Architect and negotiate enterprise-level agreements that support the growth of the Fuze Services
• Evaluate a wide range of products and programs to insure legal and regulatory compliance, particularly FDA and HIPPA

Deputy General Counsel – US Commercial and Legal Operations

• Independently review, draft, and negotiate a high volume of complex commercial agreements, including: SaaS (outbound and inbound), Data-as-a-Service (DaaS), Enterprise and strategic customer agreements, Cloud, reseller, and partnership agreements, Vendor and professional services agreements, Marketing and advertising agreements
• Partner closely with Sales and Revenue leadership to structure deals that align with company's risk tolerance and strategic priorities
• Advise internal stakeholders on legal, financial, and operational risk in commercial transactions and clearly communicate trade-offs
• Support RFPs and customer due diligence processes, including negotiation of security and compliance terms
• Provide guidance on privacy and data protection laws (e.g., GDPR, CCPA/CPRA and evolving U.S. state privacy laws) as they relate to product features, customer agreements, and marketing initiatives
• Partner with Security and Product teams to support customer responses to data protection and information security questionnaires
• Assist in the development, implementation, and maintenance of internal compliance policies and processes
• Advise on legal and regulatory considerations related to AI-enabled products and internal AI use, including: Data usage rights and training data considerations, IP ownership and licensing issues, Transparency and disclosure requirements, Contractual allocation of AI-related risk

Senior Commercial Counsel

• Advise on drafting and negotiating a broad range of commercial agreements with vendors
• Partner closely with Supply Chain, Procurement, Information Technology, and business units to support global sourcing, manufacturing, and logistics
• Draft, review, negotiate, and advise on a wide variety of agreements, including master supply agreements, SaaS agreements, consulting and professional services agreements, data privacy agreements and non-disclosure agreements
• Build strong relationships with internal stakeholders and provide proactive, business-oriented advice to the business
• Support negotiation strategy and contract standardization initiatives, including development and maintenance of policies, processes, templates and playbooks

Associate Corporate Counsel

• Provide analysis and counsel to Archimedes on legal issues related to contracts, statutes and regulations, products, employment law, intellectual property, financial offerings, financial structuring, real estate transactions, and strategic planning.
• Work collaboratively with Lumicera and Navitus teams to ensure compliance with relevant law, ethical business practices, and Navitus’ mission and values.
• Ensure the effectiveness and efficiency of the Archimedes Legal Team in meeting organizational needs.
• Draft, review, and negotiate contracts on behalf of Archimedes; maintain and proactively update contract templates in compliance with changing business needs and legal requirements; write and administer complex vendor, client, and employment contracts.
• Manage processes related to licensing and regulatory requirements for Archimedes.
• Inform the development of new Archimedes initiatives from a legal perspective and provide guidance on legal issues that help shape the organization’s direction and impact as a whole related to contracts and IT systems.

Assistant General Counsel

• Assist with the review, negotiation, and administration of federal government contracts, subcontracts, teaming agreements, and task orders governed by the FAR, agency-specific supplements (including GSA, VA, HHS/CMS), and applicable SBA regulations
• Support compliance monitoring efforts and internal audits to ensure adherence to contract terms, applicable regulations, and agency-specific requirements
• Conduct legal research on procurement regulations, government contracting issues, and evolving agency guidance; prepare concise memoranda and recommendations for senior counsel

Director, Privacy Officer – Managing Counsel

• Draft, review, and negotiate commercial and healthcare-related agreements, including vendor/MSA/SOWs, SaaS/IT and data-related contracts, BAAs, leases, professional services, employment/contractor agreements, and select payer-related arrangements as needed.
• Partner with operations/IT/finance to improve contracting workflows, vendor terms, renewal tracking, and risk controls (templates, playbooks, clause libraries).
• Advise on compliance and operational best practices impacting primary care operations across GA/AL/TN/SC.
• Identify issues early, propose options, and help leadership make informed, practical decisions; maintain a clear view of risk tolerance and priorities.

• Lead negotiations and amendment strategies for Pharmacy Participation Agreements, PBM network contracts, reimbursement schedules, and performance/value-based constructs.
• Direct legal strategy for underpayment disputes, audit challenges, appeal strategies, recoupment responses, and contract interpretation disputes to minimize financial exposure and maximize recovery.
• Ensure alignment between state reimbursement protection statutes, specialty carve-outs, and vertical-specific addenda.
• Provide centralized legal oversight across all contractual relationships in the high-revenue, operationally complex fertility vertical.
• Negotiate participation agreements, SLA structuring, and services agreements while balancing reimbursement economics, patient access, and compliance (e.g., managing patient steerage risk).
