Senior Legal Counsel – Fixed Income

• Contract Drafting, Review and Negotiations: Review, draft, negotiate, and revise a high volume of commercial agreements, including SaaS subscription agreements, MSAs, DPAs, NDAs, procurement agreements, and vendor contracts.
• AI and Process Innovation: Leverage AI-enabled legal tools, contract lifecycle management systems, and standardized workflows to improve productivity, consistency, and scalability of legal support.
• Cross-Functional Collaboration: Partner closely with Sales, Finance, Deal Desk, Procurement, and Executive leadership to align contract terms with strategic priorities.
• Stakeholder Support and Enablement: Provide timely, clear, and actionable legal guidance to the Sales and Customer Success teams during deal cycles.
• Regulatory and Privacy Expertise: Stay up to date on legal trends affecting the SaaS industry, including data privacy laws like GDPR and CCPA.
• Risk Management: Assess legal and operational risk associated with contract terms and provide business-oriented recommendations that support efficient decision-making.

Commercial Counsel

• Dedication to being part of a high-performing team, providing exceptional legal services, and helping Archimedes continue to grow and develop.
• Provide analysis and counsel to Archimedes on legal issues related to contracts, statutes and regulations, products, employment law, intellectual property, financial offerings, financial structuring, real estate transactions, and strategic planning.
• Work collaboratively with Lumicera and Navitus teams to ensure compliance with relevant law, ethical business practices, and Navitus’ mission and values.
• Ensure the effectiveness and efficiency of the Archimedes Legal Team in meeting organizational needs.
• Draft, review, and negotiate contracts on behalf of Archimedes; maintain and proactively update contract templates in compliance with changing business needs and legal requirements; write and administer complex vendor, client, and employment contracts.
• Manage processes related to licensing and regulatory requirements for Archimedes.
• Inform the development of new Archimedes initiatives from a legal perspective and provide guidance on legal issues that help shape the organization’s direction and impact as a whole related to contracts and IT systems.
• Update, review and approve policies and procedures related to Archimedes legal needs.
• Research and analyze statutes, judicial decisions, legal articles, contracts, and legal codes as needed.
• Maintain a working knowledge of applicable state, federal, and local laws and regulations and relevant policies and procedures to ensure actions are consistent with Archimedes’ mission and values as well as organizational and professional ethical requirements.

Assistant General Counsel

• Collaborates with colleagues within the Conflicts, Client Engagement, and Risk Management departments to identify and resolve conflicts of interest issues.
• Directs and conducts specific processes in the Conflicts department, including efficient review, identification and resolution of conflicts of interest.
• Drafts conflicts waivers, reviews lateral candidates, and provides recommendations regarding ethical wall implementation.
• Maintains thorough and accurate records of conflicts resolutions.
• Assures compliance with applicable Rules of Professional Conduct related to conflicts of interest and client engagement agreements.

Conflicts Counsel

• Assist with the review, negotiation, and administration of federal government contracts, subcontracts, teaming agreements, and task orders governed by the FAR, agency-specific supplements (including GSA, VA, HHS/CMS), and applicable SBA regulations
• Support compliance monitoring efforts and internal audits to ensure adherence to contract terms, applicable regulations, and agency-specific requirements
• Conduct legal research on procurement regulations, government contracting issues, and evolving agency guidance; prepare concise memoranda and recommendations for senior counsel
• Assist with reviews, terms and conditions analysis, and pre-award due diligence
• Provide day-to-day employment law support, including review of employment agreements, offer letters, separation agreements, and HR policies
• Assist in the investigation and resolution of employee relations matters, including EEOC charges, and internal complaint processes
• Support compliance with federal and state employment laws, leave requirements, and other employment regulations applicable to a multi-state workforce
• Partner with HR and People Operations teams to deliver practical, business-informed legal guidance
• Draft and update the playbooks and internal policies to comply with evolving laws, including state-specific labor laws
• Assist in developing and delivering training for managers on topics such as anti-harassment, wage and hour compliance, and the protection of trade secrets
• Assist with intellectual property matters, including review of software licensing, data-use agreements, and IP provisions in government contracts
• Support corporate governance and other general legal matters as assigned
• Maintain organized contract and matter management records; assist in developing and updating legal policies, templates, and playbooks
• Conduct legal research and analysis on a wide range of legal issues, including but not limited to: contract law, corporate law, employment law, litigation support and regulatory compliance
• Remain current on legal developments and specific regulations that may impact the company to ensure ongoing compliance while reducing legal risk

Associate Counsel

• provide legal support and strategic advice across Fidelity’s brokerage, wealth management, and cryptocurrency businesses
• directly support introducing broker-dealer businesses with both ongoing operations and development of new product and services
• act as subject-matter expert on legal and regulatory issues relating to distribution of digital investment advice and other interactive digital experiences

Senior Legal Counsel – Digital Brokerage

• You will be responsible for a broad range of technology transactions and operational issues, and for counseling business and sales units on a variety of issues within the North America region.
• You will focus on cloud subscription agreements and all related cloud-based transactional matters, as well as other partner and distribution agreements, especially in connection with enterprise licensing transactions.
• Negotiating, drafting, and closing cloud and software licensing and technology agreements, amendments, letters and related matters such as subscription agreements, reseller and teaming agreements, non-disclosure agreements, subcontractor agreements, RFP responses, statements of work, direct and indirect licensing agreements, Cloud-based transactions, alliance/partnering agreements, enterprise software and support agreements, marketing agreements, and distribution/channel agreements.
• Knowledge of and engagement with data privacy and data security-related issues and artificial intelligence.
• Preparation of standard templates for recurring commercial transactions and to address new business models or legal and business requirements.
• Collaborating with cross functional teams such as business/sales, marketing, finance and other business functions necessary to effectively and efficiently accomplish assignments and ensuring best practices in various legal areas such as antitrust, intellectual property protection, contract law, and others.
• Supporting initiatives and collaborating with internal business partners to improve contracting standards, templates, playbooks, and best practices.
• Ad hoc duties as directed by management

Corporate Counsel

• Advising product, engineering and design teams on legal issues related to feature development, launches, experiments and ongoing platform operations.
• Supporting legal review of new products, product changes, and technical initiatives around the Wikimedia projects.
• Supporting the draft, review and maintenance of user-facing terms, disclosures, policies, FAQs and internal guidance.
• Counseling on product, privacy, data use, consumer protection, intellectual property, accessibility, online safety and related product issues.
• Partnering with cross-functional teams to identify legal risk early and develop practical, mission-aligned solutions.
• Monitoring and helping assess legal and regulatory developments that may affect Wikimedia’s projects globally.
